Payment terms:The Client shall pay for the work by transferring money by payment orders to the Contractor's current account within 120 (one hundred and twenty) calendar days from the date of signature by the parties the certificate of acceptance of the completed works and the certificate of receipt and transfer of equipment from repair without the Customer's comments, with mandatory indication of the equipment inventory numbers, the appendix of the defective statement, indicating the location of defects (type, plant number of the drill block, well), the return material (scrap metal) certificate signed by the Client's responsible person, the unified form of OS-3 acts, the Contractor's invoices for the amount of work performed, invoice - invoices.
Delivery terms:The contract expires from October 1, 2021 to December 31, 2021.

- for equipment overhaul, the repair period not exceeding 30 (thirty) calendar days from the time the equipment is taken to the Contractor's production facility;
- for the current (requisition) repair of the equipment at the Customer's production facility, the repair period is not more than 2 (2) calendar days from the date of submission of the application. In case of technical need to carry out an ongoing (bid) repair of the equipment at the Contractor's production facility, the repair period is not more than 5 (5) calendar days from the time the equipment is taken to Contractor's production base.

Overhaul works are being carried out at Contractor's production facilities.
Ongoing (bid) repairs are carried out at Tatburneft's well construction facilities and, if necessary, at Contractor's production facilities.

This price request procedure is not a competition procedure. The Promoter has the right to refuse all offers received for any reason or to terminate the price request at any time without incurring any liability to the Suppliers!!!

MANDATORY ACCEPTANCE OF THE CONTRACT IN THE CLIENT'S EDITORIAL OFFICE.
1. The cost of the Contractor's equipment repair services shall be calculated from the cost of materials and services according to Annex 1 of the specification, based on a defective statement (annexes 2b of the Treaty). The equipment brought to the Claimant's production facility must be repaired within 15 working days of the equipment being imported.
2. Contractor Requirements:
1) The production base is not more than 200km from Almetyevsk, RT - property or rent.
2) Having at least 3 years of AKB-4 repair experience (confirmed by contracts).
3) Availability of logistical resources for the work:
- Pneumatic Test Bench AKB-4.0 (Testing of pneumatic units of equipment for leakproofness not less than 0.8MPa) - 1 pc. (property or lease with supporting documents)
- Lathe machine - not less than 1 pc. (property or lease with supporting documents).
- Semi-automatic welding machine - at least 1 pc. (property or lease with supporting documents).
- Hardfacing machine - not less than 1 pc. (property or lease with supporting documents).
- Milling machine - not less than 1 pc. (property or lease with supporting documents).
4) ISO 9001 Certificate for Service and Repair of Oil & Gas Drilling Equipment
5) Availability of service - supporting documents
6) The presence of a laboratory for flaw detection (ultrasonic, capillary, magnet-powder) - subcontract, certificate.
7) Existence of Oilfield Equipment Industrial Safety Expertise Laboratory - Subcontract, Certificate.
3. In case of failure of equipment owned by Customer (because of Contractor) during the warranty (post-repair) period, as well as identification of inoperable equipment owned by The Customer, in the course of performing the work (services), shall be entitled to collect a fine from the Contractor in the amount of the cost of downtime (non-productive work) of the rig (according to the VU types) based on the cost one hour of downtime (Appendix No. 5 to the contract, the cost of an hour of downtime is unilaterally adjusted once a quarter), but not more than the cost of repairs. In case of no downtime (unproductive work) of the rig, the Customer is entitled to collect a fine of 50,000 rubles from the Contractor and the actual costs incurred for the dismantling of the failed equipment and installation of recycled equipment.
4. In case of failure to repair the equipment, according to the terms of this agreement based on the mutually agreed list and monthly repair plan, the Contractor will be subject to penalties in 3% of the cost of repairs performed for each week of delay.
5. In case of failure of the warranty equipment, the Customer has the right to dismantle it without the agreement of the Contractor. Upon the Contractor's arrival at the facility (well), the parties set up a commission consisting of competent, authoritative representatives of the Customer and the Contractor able to identify the guilty party without additional investigation in shop conditions, ordered by enterprise orders. The Commission investigates and determines (determines) the cause of the failure of the equipment, with mandatory registration and signing on both sides of the incident investigation report.
6. The Board shall identify the party who committed the incident directly at the drilling site on the day of the investigation, and if there is no evidence of Customer's fault, acknowledges the Performer Which, in the event of disagreement with the decision of the commission, after the equipment has been taken to the Contractor's base (transport provided by the Contractor) and to conduct further investigation at its own expense, is entitled to provide evidence of his innocence and to defy the commission's decision. In case of further investigation, the Contractor undertakes to ensure the presence of the Customer's representative and call him in advance. Additional investigation shall be carried out only at the Contractor's production facilities (excludes investigation at subexecutors' production facilities, if they are involved). The equipment brought to the Claimant's production facility must be repaired within 10 working days of the equipment being imported.
7. As a result of the investigation, the commission drafting a report of inquiry which the parties are obliged to sign, and no refusal to sign the act If the representative of the party identified as a result of the investigation refuses to sign the act, the act is deemed to have been signed for the benefit of the other party, and the act is marked accordingly.
This act is the basis for compensation (payment) by the guilty party for losses caused by an incident, downtime or unproductive work at the expense of the guilty party, including penalties, submitted to the customer by third parties.
In the event that the Contractor is found guilty, the act is the basis for the Customer to claim against the Contractor. The indemnification (payment) of damages, including penalties, shall be made through adjustments to reduce the amount of work performed by the Contractor in the amount of damages (fine) and payment work performed, taking into account the deduction of the cost of downtime (unproductive time) indicated in the claims submitted and recognized by the Contractor, or left unanswered within 30 calendar days, or by transferring funds to the Customer's current account based on the claim.

Repair work shall be carried out in accordance with the requirements of the equipment manual, the applicable specifications and GOSTs. The warranty period for the repair works performed is:
- equipment overhaul 12 months;
- 9 months for maintenance of equipment;
- RTI warranty conditions applied during repair — 500 hours.
