Payment terms:The Customer makes a payment for the work by transferring funds by payment orders to the Contractor's current account within 120 (one hundred twenty) calendar days from the date of signing by the parties the certificate of acceptance of the work performed and the certificate of acceptance and transfer of equipment from repair without the Customer's comments, with the obligatory indication of the equipment inventory numbers, the attachment of the defective list, with indication of the location of defects (type, serial number of the drilling unit, well), certificate for return materials (scrap metal) from repair signed by the Customer's materially responsible person, unified form of OS-3 acts, Contractor's invoices for the scope of work performed, invoice — invoices.
Delivery terms:The contract is valid from 01.01.2022 to 31.12.2022.

The period for overhaul of equipment is not more than 30 calendar days from the date of equipment delivery to the Contractor's production base;
The period for the current repair of equipment is not more than 15 calendar days from the date of delivery of the equipment for production.

This request for prices is not a tender procedure. The Organizer has the right to refuse all offers received for any reason or to terminate the request for prices at any time without incurring any liability to Suppliers!!!

The application of the commercial offer on the letterhead is required.

Equipment repair work must be carried out in accordance with the requirements of the equipment operating manual and applicable standards. The warranty period for the equipment repair works performed is:
- for overhaul of equipment 12 months, from the moment the equipment was put into operation.
The warranty conditions for the RTI applied during the repair are 1000 hours.

MANDATORY ACCEPTANCE OF THE AGREEMENT AS AMENDED BY THE CUSTOMER.
1. The cost of the equipment repair services offered by the Contractor must be made up of the cost of materials and services, in accordance with Appendix No. 1 to the specification, on the basis of the defective list. The equipment imported to the production base of the Complaints Contractor must be repaired within 10 working days from the date of delivery of the equipment.
2. Requirements for the Contractor:
1) The presence of a production base no more than 400 km from the city of Almetyevsk of the Republic of Tatarstan is property or lease.
2) At least 3 years of experience in repairing the SVP (confirmed by contracts).
3) Availability of material and technical resources to perform work:
- Stand for installing and securing the SVP - 1pc. (property or lease with supporting documents).
- Bench for hydraulic testing of SVP (Tests of SVP cranes for tightness not less than 35MPa) - 1 pc. (property or lease with supporting documents)
- Equipment providing a 600 V connection point - 1 pc.
- Soft start stand with cable for connection of SVP - 1 pc.
- Lathe machine - at least 2 pcs. (property or lease with supporting documents).
- Semi-automatic welding machine - at least 1 pc. (property or lease with supporting documents).
- Overlay welding device — at least 1 pc. (property or lease with supporting documents).
- Milling machine - at least 1 pc. (property or lease with supporting documents).
4) ISO 9001 certificate for maintenance and repair of drilling oil and gas equipment
5) Service availability - supporting documents
6) Availability of a laboratory for conducting flaw detection (ultra-sound, capillary, magnetic powder) - subcontract agreement, certificate.
7) Availability of a laboratory for the examination of industrial safety of oil field equipment - subcontract agreement, certificate.
3. In case of failure of equipment owned by the Customer (due to the Contractor) during the warranty (post-repair) period, as well as identification of the fact of inoperability of equipment owned by the Contractor The Customer, in the course of performing works (services), the Customer has the right to recover from the Contractor a fine in the amount of the cost of downtime (unproductive work) of the drilling rig (by type of BU) based on the cost of one hour of downtime (Appendix No. 5 to the contract, the cost of an hour of downtime is adjusted unilaterally once a quarter), but not more than the cost of the repair. In the absence of downtime (unproductive work) of the drilling rig, the Customer has the right to impose a fine from the Contractor in the amount of 50,000 rubles and the actual costs incurred for dismantling the failed equipment and installation of circulating equipment.
4. In case of violation of the equipment repair deadlines, in accordance with the terms of this agreement on the basis of a mutually agreed list and a monthly repair plan, the Contractor will be subject to penalties in 3% of the cost of work performed on this repair for each week of delay.
5. In case of failure of warranty equipment, the Customer has the right to dismantle it without agreement with the Contractor. Upon arrival of the Contractor at the facility (well), the parties create a commission, which includes competent, authorized representatives of the Customer and the Contractor, capable of identifying the guilty party without additional investigation in shop conditions, appointed by orders for enterprises. The Commission carries out an investigation and determines (establishes) the cause of the equipment failure, with the mandatory registration and signing on both sides of the incident investigation report.
6. The Commission shall determine the party that committed the incident directly on the drilling site on the day of the investigation, and if there is no evidence of the fault of the Customer, the Contractor is recognized Who, in case of disagreement with the decision of the commission, after the removal of the equipment to the Contractor's base (the transport is provided by the Contractor), conducting an additional investigation at his own expense provide evidence of his innocence in the incident and refute the decision of the commission. When conducting an additional investigation, the Contractor undertakes to ensure the presence of the Customer's representative and call him in advance. Additional investigation is carried out only at the production facilities of the Contractor (it is excluded to conduct an investigation at the production facilities of subcontractors, when they are involved). The equipment imported to the production base of the Complaints Contractor must be repaired within 10 working days from the date of delivery of the equipment.
7. As a result of the investigation, the commission draws up an investigation report, which the parties must sign, and refusal to sign the act is not allowed If the representative of the guilty party established as a result of the investigation refuses to sign the act, the act is considered signed in favor of the other party, and a corresponding note is made in the act.
This act is the basis for compensation (payment) by the guilty party for losses caused by the incident, downtime or unproductive work at the expense of the guilty party, including penalties, presented to the customer by third parties.
If the Contractor is found guilty by the party, this act is the basis for the Customer to file a claim against the Contractor. Compensation (payment) of losses, including penalties, is made by adjusting, in the direction of reducing the amount of work performed by the Contractor for the amount of losses (fines) and payment works performed taking into account the deduction of the cost of downtime (unproductive time) specified in the claims submitted and recognized by the Contractor, or left unanswered within 30 calendar days, or by transferring funds to the Customer's current account on the basis of a claim.
