MANDATORY acceptance of the contract as amended by the Customer attached to the PURCHASING DOCUMENTATION! (Annex 1)

1. The Contractor undertakes to complete Appendix No. 1 of this specification in the form of a technical and commercial proposal.
2. Subcontracting third-party enterprises is allowed only by written agreement with the Customer to transfer the equipment to subcontracting.
3. When subcontracting organizations are involved, the costs of equipment delivery from repair and repair are included in the cost of equipment repair, the obligation to arrange delivery relates to the Contractor.
4. The cost of the equipment repair services offered by the Contractor should be indicated taking into account transportation and travel expenses, expenses for salaries, insurance, rent, taxes, customs duties, fees and other obligatory payments. Based on the ETP results, the applicant agrees with the Customer on the planned costing of the cost of work, the cost of a standard hour of services, calculation parameters, and also provides approved standards for the performance of work.
5. Contractor Requirements:
5.1. The presence of a production base of not more than 100 km from the city of Orenburg - property or rental.
5.2. Experience in repairing hydraulic equipment for at least 3 years (confirmed by contracts).
5.3. Availability of material and technical resources for the performance of work:
1) Availability of a turning workshop (ownership or lease with supporting documents).
2) The presence of a test bench for high pressure hoses (property or rental with supporting documents).
3) Possibility to repair cylinders 16 m long.
The Contractor has qualified personnel with experience in the overhaul of hydraulic equipment. The presence of a certificate of an official dealer of companies authorized by the Contractor to carry out service. warranty service and repair of hydraulic equipment.
5.1. The Contractor undertakes to conduct tests for all types of Customer’s repaired equipment on the rolling stand under load according to the test method and according to the passport specifications.
6. Providing by the Contractor to the Customer 3 (three) days before the procedure for Requesting a price quote: the estimated cost of a major overhaul of each unit of equipment being repaired.
6.1. The cost of repair work for each piece of equipment is determined individually on the basis of mutually agreed defective statements using spare parts, time standards and the cost of a standard hour to perform work in accordance with Appendix No. 1 to this specification, estimates for the repair of this equipment.
6.2. If it is necessary to use materials and components that are not specified in Appendix No. 1 in the repair, the Contractor agrees with the Customer on their cost by signing an additional agreement to the contract. The contractor confirms the cost of these materials and components with primary documents (invoices, invoices), the mark-up for materials and components not included in Appendix No. 1 should not exceed 5% of the supplier’s price.
7. Spare parts used to carry out equipment repairs are original only.
8. Positive experience of cooperation of the Contractor with OOO UK Tatburneft is welcome.
9. The customer has the right to adjust the value of the contract in the direction of reducing / increasing the volume of work performed.
10. Based on the results of the bidding, the Contractor must agree with the Customer the planned calculations, cost estimates of the repair with the breakdown of cost items.
11. After the overhaul of the drilling equipment, the Contractor shall manufacture and fix a plate on the equipment casing indicating the inventory and serial numbers in accordance with the OS-3 Act.
12. During the overhaul, the Contractor shall restore the condition of the equipment to full or close to the full resource of the equipment according to the technical characteristics specified in the equipment passport.
13. In the event of failure of the equipment belonging to the Customer (due to the Contractor) during the warranty (after-repair) period, as well as the fact of failure of the equipment belonging to the Customer during the performance of work (services), the Customer shall be entitled to recover a fine from the Contractor in the amount of the cost of downtime (unproductive work) of a drilling rig (by type of control unit) based on the cost of one hour of downtime (calculation of the cost of an hour of shutdown of a drilling rig (by type of drilling rig) is an appendix to the contract). If there is no downtime (unproductive work) of the rig, the Customer is entitled to recover a fine of 50,000 rubles from the Contractor.
14. In case of violation of the terms of equipment repair, according to the terms of this agreement on the basis of a mutually agreed list and monthly repair plan, the Contractor will be fined in the amount of 0.1% of the cost of work on this repair for each day of delay.
15. In the event of a failure of the warranty equipment, the Customer is entitled to dismantle it without agreement with the Contractor. Upon arrival of the Contractor to the facility (well), the parties create a commission composed of competent, plenipotentiary representatives of the Customer and the Contractor, able to determine the guilty party without further investigation in the workshop conditions, appointed by orders for enterprises. If necessary, representatives of the Well Construction Customer are invited to work on the commission. The commission carries out an investigation and determines (establishes) the reason for the failure of the equipment, with the obligatory execution and signing on both sides of the incident investigation report.
16. The Commission determines the party that committed the incident directly at the drilling site on the day of the investigation, and if there is no evidence of the Customer’s guilt, the Contractor is recognized as the party that made the incident. Which, in case of disagreement with the commission’s decision, after the equipment has been taken to the Contractor’s base (the Contractor provides transport), an additional investigation is carried out at his own expense, he is entitled to present evidence of his innocence in the incident and refute the commission’s decision. During an additional investigation, the Contractor shall ensure the presence of a representative of the Customer and make his call in advance. An additional investigation is carried out only at the Contractor’s production facilities (the investigation is excluded from the production facilities of subcontractors, if any). Equipment brought to the Contractor’s production base for complaint must be repaired within 10 business days from the date of delivery of the equipment.
17. Based on the results of the investigation, the commission draws up an act of investigation, which the parties are required to sign; refusal to sign the act is not allowed. In case of refusal of the representative of the guilty party established as a result of the investigation to sign the act, the act shall be deemed signed in favor of the other party, about which a corresponding note is made in the act.
This act is the basis for compensation (payment) by the guilty party for losses caused by the incident, downtime or unproductive work at the expense of the guilty party, including penalties presented to the customer by third parties.
If the Contractor is recognized as the guilty party, the specified act is the basis for the claim by the Customer to the Contractor. Compensation (payment) of losses, including penalties, is carried out by adjusting, in the direction of reducing the volume of work performed by the Contractor by the amount of losses (fine) and payment of work performed, taking into account the deduction of downtime (non-productive time) indicated in the claims submitted and recognized by the Contractor, or left unanswered within 30 calendar days, or by transferring funds to the Customer’s bank account on the basis of the claim.
