| Payment terms: | not earlier than 45 (forty five) calendar days and no later than 75 (seventy five) calendar days following the date of signing by the Buyer of the Goods Consignment Note (in the form TORG-12), provided that proper fulfillment by the Supplier of its contractual obligations, including the delivery date, quantity, completeness and quality of the Goods and subject to the provision of originals of primary documents:
¾ consignment note (according to the TORG-12 form) in 2 (Two) copies;
¾ accounts;
¾ invoices;
¾ Waybill of lading (consignment note), at least 2 (two) copies;
¾ certification documents (if the Product is subject to certification in accordance with the legislation of the Russian Federation);
¾ Technical documentation;
¾ other documents stipulated by the Technical Assignment (Appendix No. 1 to the Agreement).
If the Supplier belongs to small and medium-sized enterprises (SMEs), in accordance with the Decree of the Government of the Russian Federation dated December 11, 2014 No. 1352 "On the specifics of participation of entities small and medium-sized businesses in the procurement of goods, works, services by certain types of legal entities", then clause 3.8. shall be amended to read as follows:
Within 15 (Fifteen) business days following the date of signing the Goods Consignment Note by the Buyer (in the form TORG-12), subject to the Supplier's proper performance of its contractual obligations, including by delivery date, quantity, completeness and quality of the Goods and subject to the provision of originals of primary documents:
