2. Place of work: Customer territory (EPM-NEZ JSC).

3. Object (technical device).
Robotic complex for the manufacture of graphitized nipples, including: 2 (two) machining centers ROMI G550, FRIGGI saw, EXTOR 4100 r5 suction system, FANUC robots, conveyor, NIPEL measurement unit.

4. The list and scope of work performed:
4.1. The Contractor undertakes to perform annual maintenance of the Customer’s equipment (hereinafter referred to as the Works) in accordance with the requirements of the manufacturer.
4.2. The name of the equipment, the list of work performed and the timing of the work is indicated in Appendix No. 1 to this Terms of Reference. The Contractor, acting as a competent person, hereby certifies that the list and scope of work referred to in Appendix No. 1 are fully consistent with the scheduled work established by the manufacturer for servicing the Equipment. Carrying out work other than service work in Appendix No. 1 is not required.
4.3. The Contractor also undertakes obligations in the event of the conclusion of the Agreement at the request of the Customer to supply spare parts (hereinafter referred to as the Goods) according to the List specified in Appendix No. 2.

5. Turnaround time: within 12 calendar months, starting from the date of signing the Agreement, provided that all work is regulated by the technical documentation of the equipment designated in the first year of operation. The start date and duration of the work shall be agreed with the Customer in writing no later than 30 (thirty) calendar days before it is carried out.

6. Supply of materials, equipment and lifting structures to carry out the work.
6.1. The work is carried out using materials, special equipment and
6.2. Lifting equipment, installation equipment, mechanisms for loading operations, tools and all consumables for them, PPE, electric welding, gas cutting and other equipment necessary for the work are provided by the Contractor.
6.3. Crane beams are provided by the Customer, the crane operator is provided by the Contractor.
6.4. Materials and components from the Customer’s warehouse to the installation site are delivered by the Contractor.

7. Requirements for the Contractor.
7.1. The contractor must perform work in full accordance with the recommendations of the equipment manufacturer, including the volume and quality of work performed.
7.2. The Contractor must perform the work with its own tools and equipment, by the forces of its competent specialists having labor relations with the Contractor.
7.3. The contractor in his proposal indicates the payment procedure and other conditions.
7.4. Certification of the head, engineering and industrial safety and labor protection performers at the public educational institution.
7.5. Ensuring HSE measures with safe methods for performing work at the facility.
7.6. In case of justified comments to the staff on the quality of work performed, violation of safety regulations, as well as administrative violations, at the request of the Customer’s specialists, the Contractor must immediately replace these workers.
7.7. Poorly executed work must be redone at the expense of the Contractor and delivered to the Customer.
7.8. The placement in the sanitary facilities of workers employed to perform this work is performed by the Contractor. The customer, if possible, can arrange for workers to be contracted.
7.9. The Contractor shall attach reasonable quotations to the commercial proposal for all the labor required for the maintenance of the equipment of the robotic complex. The Contractor must agree with the Customer, the developed cost estimates, a linear schedule of work, POR, PPR and technological maps for all necessary work - no more than 15 calendar days after the winner of the competitive procedure.
7.10. Garbage removal of all categories, to landfills for industrial waste, is carried out by transport provided by the Customer, at the preliminary request of the Contractor. The costs of the disposal of garbage of all categories at the landfill for industrial waste are borne by the Customer.
7.11. Garbage is loaded by the Contractor’s forces and mechanisms.
7.12. It is necessary to have an SRO for these types of work.

8. Payment terms: monthly, within 30 (thirty) banking days after the delivery of the results of the work, provided that the work is performed properly and within the agreed time. The work is considered to be completed after the signing by the Parties of the Act on acceptance of work performed (form KS-2) and a certificate of the cost of work performed and costs (form KS-3).

9. Warranty for the work performed: 12 months from the date of completion of work.

10. Special conditions: Service work is carried out in the existing workshop. The schedule of work is agreed with the workshop (CMOEP) and plant services (UM, EI, etc.). Technical documentation is available to the Contractor only at the production site of EPM-NEZ JSC.

11. The list of documents provided in UOTiPB for registration of work permits for the performance of work by contractors:
1. Copies of the Certificate (SRO) for the right to perform this type of work.
2. Copies of a labor safety briefing from a briefing journal.
3. POR, PPR or RTI.
4. Copies of the certification protocol for labor protection workers.
5. Copies of certificates of certification of labor protection engineering and general industrial safety requirements. When performing work on gas, on vessels operating under pressure, using PMG, lifts (towers), in electrical installations, carrying out hot work - copies of certificates for each type of work.
6. Medical admission staff.
7. Copies of certificates of gas welders, slingers, crane drivers, hoists (towers). For gas and electric welders - copies of certification protocols for fire-technical minimum.
Prior to the execution of the work permit - admission, all employees of the contracting organization, including managers, are required to undergo introductory briefings at the UOTiB (to have a document proving their identity and age). When performing work, all employees must have certified clothing, shoes and other personal protective equipment necessary for the performance of this type of work.
In the event of the expiration of any document, the work permit is not granted until the submission of a new document.
