Payment terms:Payment for the services actually rendered by the Contractor under the Contract is carried out on the following conditions: within 20 banking days from the date of signing by the Parties of the Act of Delivery and Acceptance of the services rendered, provided that the services are properly rendered and the Customer receives a properly executed Invoice for payment, provided that the Customer receives from the Contractor the originals of the invoice, the Act of Delivery and acceptance of the services rendered, issued in accordance with the requirements of the legislation of the Russian Federation and the Contract, the original of the Contract (the payment date is determined from the latest date).

Delivery terms:The contractor is obliged to:
2.1.1. Start providing services under this Agreement in a timely manner.
2.1.2. To provide services under this Agreement in accordance with the terms of this Agreement, the requirements established by the current legislation of the Russian Federation and the requirements usually imposed on similar types of services.
2.1.3. By their own efforts and at their own expense, eliminate the shortcomings of the services under this Agreement within 10 working days from the date of sending the corresponding request by the Customer.
2.1.4. Within 5 (five) working days from the date of conclusion of the Contract, appoint responsible representatives to coordinate and coordinate the provision of services with the Customer, and notify the Customer in writing about this. The notification must contain: the surname, first name and patronymic of the Contractor's representatives, the position held by the Contractor, the term and scope of powers, the number and date of the administrative document on the appointment of the Contractor's representatives, contact details of the Contractor's representatives (phone, e-mail).
2.1.5. In the case of involving third parties to provide services under this Agreement, the Contractor is responsible for the consequences of non-fulfillment or improper fulfillment by the attracted third parties of their obligations. The Contractor performs all settlements with third parties for the services rendered under this Agreement independently.
2.1.6. To ensure the safety of the documents received during the provision of services and to return all the documents provided by the Customer no later than the end date of the provision of services under this Agreement. In case of loss or damage to the documents, compensate the Customer for the losses caused by this in full within 5 working days from the date of the Customer's submission of the corresponding claim.
2.1.7. If the Parties agree to make the payment on the terms of the transfer of advance payments, the Contractor undertakes to issue an invoice for the amount of the prepayment to the Customer no later than 5 (five) calendar days from the date of receipt of the prepayment, issued in accordance with the requirements of Article 169 of the Tax Code of the Russian Federation.
2.1.8. In cases stipulated by the legislation of the Russian Federation, issue / send to the Customer an invoice in the form of Appendix 1 to the decree of the Government of the Russian Federation No. 1137 of 26.12.2011, in accordance with the requirements of Article 168, Article 169 of the Tax Code of the Russian Federation and indicating in it a reference to this Agreement and the corresponding Act of Delivery and Acceptance of services rendered.
2.1.9. To coordinate in writing with the Customer any actions that go beyond the scope of this Agreement and at the first request of the Customer to inform him about the progress of the provision of services under this Agreement.
2.1.10. Without the prior written consent of the Customer, not to provide to third parties, not to disclose, not to publish, not to use in any other way the information received under this Agreement in connection with the provision of services under this Agreement, including personal data, as well as all analytical information and conclusions available to the Contractor in connection with the provision of services under this Agreement.
2.1.11. Immediately notify the Customer and, until receiving instructions from him, suspend the provision of services under this Agreement if:
• possible adverse consequences for the Customer of the provision of services under this Agreement;
• other circumstances beyond the control of the Contractor that threaten the quality or possibility of providing services or make it impossible to complete them on time.
2.1.12. In the event of early termination of this Agreement on the grounds provided for by law, other legal acts and the Contract, the Contractor undertakes to return to the Customer the funds paid in the part exceeding the services actually rendered under the Contract (according to the Act), within 5 (five) banking days from the date from which, in accordance with the law, other legal acts, the Contract or the agreement of the Parties, this Agreement will be considered terminated.
2.1.13. To act in the interests of the Customer reasonably and in good faith, not to allow the violation of the interests of the Customer or the implementation of any actions that can directly or indirectly cause property or other harm to the Customer. Follow the instructions of the Customer.
2.1.14. Upon the provision of services, provide the Customer with the result of services, a signed Certificate of delivery and acceptance of the services rendered in the amount of two copies, corresponding to the requirements of the Contract, as well as a properly executed invoice for the payment of services rendered under this Contract, corresponding to the requirements of the current legislation of the Russian Federation, the Contract and explanations of authorized bodies.
2.1.15. Ensure and bear responsibility (including any costs, expenses and fines, compensation for any harm caused to any persons) for maintaining strict discipline and proper order among the persons involved in the provision of services, safe working conditions, compliance with applicable fire, environmental and sanitary norms and rules. Conduct proper instruction of persons involved in the provision of services in terms of compliance with the rules of labor protection and safety, compliance with laws, regulations and rules of all state bodies related to the services provided under the Contract, in order to prevent injuries and damage to the property of the Customer, harm to the life and health of its employees, as well as damage to property, harm to the life and health of third parties. The Contractor bears full independent property responsibility for the compliance of persons involved in the provision of services at the place of performance of services with the applicable rules, norms, and conditions of this Agreement.
2.1.16. During the provision of services, observe all necessary measures for explosion safety, labor protection, fire and industrial safety, the rules for staying at industrial facilities and staying in shift settlements, the rules for providing high-rise installation services and services with electrical equipment, rational use of the territory, environmental protection, green spaces and land, as well as fulfill all orders of the Customer regarding compliance with these measures, including according to the instructions of sanitary supervision bodies, Rostechnadzor of the Russian Federation, fire protection, labor protection inspection, environmental protection and other regulatory bodies.
2.1.17. During the entire term of the Contract and being on the Customer's territory during the provision of services involving the use and operation of vehicles, ensure that the persons engaged by the Contractor to perform work under the Contract are familiar with and strictly comply with the requirements of the standard "Organization and ensuring road safety".
2.1.18. Strictly observe, ensure that the persons involved in the provision of services comply with the internal Labor Regulations in force at the Customer, the Standard for organizing and ensuring Road Safety, the Regulations for organizing access and intra-object modes at the Customer's Security Facilities and other rules established at the place of rendering services. The Contractor assures that before signing the Contract, he is familiar with the Rules of the internal labor Regulations of the Customer, the Standard for organizing and Ensuring Road Safety, the Regulations for organizing access and intra-object modes at the Customer's Security Facilities and other rules in force at the Customer.
2.1.19. To acquaint all persons involved in the execution of the Contract with the internal documents of the Customer, including, but not limited to, the Rules of the internal labor regulations of the Customer, the Regulations on the organization of access and intra-object modes at Security Facilities", the Standard "Organization and ensuring road safety".
2.1.20. Perform and comply, during the validity of this Agreement, with the entire set of security measures in accordance with the requirements of the legislation of the Russian Federation in order to guarantee the safety of people and property.
2.1.21. To reimburse the costs incurred by the Customer for eliminating the shortcomings of the services within 5 working days from the date of receipt of such a request from the Customer.
2.1.22. Notify the Customer about the expiration of licenses and other permits (hereinafter referred to as licenses) necessary for the provision of services under this Agreement, receipt of new ones, their revocation, reissue and other similar circumstances 7 days before the occurrence of these circumstances.
2.1.23. In the event of the occurrence of weather conditions under which the provision of services under the Contract becomes impossible (the temperature below which the services cannot be provided, the deterioration of visibility during a blizzard, the wind speed at which it is impossible to provide services, etc.), the Contractor is obliged to immediately (no later than the day following the day of the occurrence of weather conditions) notify the Customer of the occurrence of these circumstances, otherwise he has no right to refer to these circumstances as circumstances that release him from responsibility for violating the terms of the Contract.
The fixing of the occurrence of the weather conditions specified in this paragraph of the Contract is made out by the Parties by drawing up a bilateral Act, where the metrological conditions, the date and time of their beginning and end are recorded.
For the period of validity of weather conditions that prevent the provision of services under the Contract, the Contractor is released from responsibility for the delay in the provision of services, subject to timely notification of the Customer, compliance with the procedure provided for in the Contract, fixing the occurrence of these weather conditions.
2.1.24. In case of non-fulfillment by the Customer of counter obligations under the Contract that prevent the Contractor from fulfilling the obligations under the Contract within the period specified by the Contract, the Contractor is obliged to immediately (no later than the next working day after the day of the occurrence of the corresponding obligations of the Customer) notify the Customer about this, suspend the provision of services under the Contract, otherwise the Contractor has no right to refer to these circumstances as the basis for the impossibility of providing services and/or releasing him from liability for violation of obligations under the Contract. The Contractor's continuation of the provision of services under the Contract after the deadline for the Customer's performance of counter obligations under the Contract is a confirmation by the Contractor that for the provision of services under the Contract, the Customer's performance of counter obligations is not an obstacle to the provision of services under the Contract by the Contractor.
