Payment terms:
Payment for the Services rendered is carried out within 60 (sixty) calendar days from the date of signing by the Parties of the Certificate of Services rendered and on the basis of the original invoice of the Contractor.
The costs incurred by the Contractor related to the mileage to the place of rendering services at the BPO in Nizhnevartovsk from the location (garage) of the Contractor, repair, maintenance and maintenance of the transport, provision of fuel and lubricants, insurance costs, taxes, employee costs are not subject to payment Contractor, including travel expenses, per diem and other expenses associated with the provision of transport services.
During the execution of the assignment, Weatherford does not provide the Contractor's staff with food, a place to rest and sleep. Creation of conditions for comfortable fulfillment of the Assignment by the Contractor's own personnel is carried out by and at the expense of the Contractor.
Travel on toll road sections (except for the costs accrued by the Platon system), ferries and ferries, transportation of oversized cargo (clearance costs) are compensated by the Customer on the basis of supporting financial documents, by prior agreement of these costs with the Customer.
Terms of payment for the "Change" operating mode.
Acts of completed work are accepted for payment for services rendered, consisting of
- the actual mileage and actual hours of waiting for the vehicle (if there was a wait), but no more than 16 hours per day with the tariffication "by mileage".
- or the actual working time of the vehicle / personnel, confirmed by a report from the BSMTS and / or the corresponding marks of the authorized representative of the Customer in the waybill about the time of arrival and departure of the vehicle / personnel to / from the object / s of the work,
not less than the minimum work shift - 8 hours a day, but not more than 16 hours a day with the "hourly" tariffication.
The first hour allotted for loading and the first hour allotted for the unloading of freight transport is not subject to payment when tariffication is "based on mileage".
Payment terms for the operating mode: "Monthly rate":
Payment for 1 (one) month of using the vehicle with a crew / specialist in strapping (strapping) cargo. For payment for the services provided, acts of work performed are accepted, confirmed by the BSMTS report and the corresponding marks in the waybill of the authorized representative of Weatherford. In case of early termination of work or provision of services, payment of a part of the monthly rate is made in proportion to the worked shifts (days) per month. Mileage in excess of the established travel standard per month is paid at an additional rate for 1 km. mileage of the vehicle.
Terms of payment for operating hours: "Flight":
Payment for 1 (one) flight for using a vehicle with a crew. For payment for the services rendered, acts of work are accepted, confirmed by the BSMTS report and the corresponding marks of the authorized representative of Weatherford in the waybill about the time of arrival and departure of the vehicle to / from the object / s of the work, as well as a mark in the bill of lading on receipt of the goods. Payment is made at a flat rate for the flight, including the actual time spent on its implementation, regardless of the volume, weight and type of the transported cargo, if this does not contradict the rules of safe operation of the vehicle and the legislation of the Russian Federation.
The time in excess of the established standard of 1 hour for loading and 1 hour for unloading is paid as each hour of waiting at an additional rate for 1 hour of waiting for the vehicle. Downtime of the Contractor due to circumstances beyond his control (forced waiting due to weather conditions, road surface condition, winter road, etc.), is paid by Weatherford in the summer in the amount of 30% of the tariff rate for each hour of the vehicle downtime, in winter time in the amount of 60% of the tariff rates for each hour of vehicle downtime, but not more than 16 hours per day, unless otherwise agreed in Appendix No. 1. For the purposes of this clause, winter time means the period from October 01 to April 30, and summer time means the period from May 01 to September 30 of the corresponding calendar year.
Delivery terms:
General requirements for vehicle and crew.
The Contractor provides the crew (personnel) to perform the Services specified in the Transport Application. Personnel must have the required clearance when entering the line. The personnel must be provided with the necessary minimum set of PPE, including:
• Safety shoes with impact-resistant toe cap;
• Helmet;
• Protective glasses;
• Overalls;
• Work gloves.
• Other PPE required by the security policy at the Customer's facilities, including PPE required to prevent the spread of the COVID 19 virus.
At least 50% of the vehicles (TC) for the "positions declared for the competition" must be registered in the ownership of the Contractor. Involvement of third parties (subcontracting) is allowed by prior written agreement with Weatherford.
It is obligatory to have replacement vehicles and personnel (in case of an emergency), with valid passes for travel to the facilities of the main Customers.
The beginning of the provision of transport services by the Contractor begins from the moment the application is received. If necessary, the vehicle and the driver must be pre-issued passes to the facilities of the main Customer, Weatherford. During the execution of the contract, an increase in the production program is possible and the Contractor must be ready to provide equipment in an amount exceeding the minimum availability of the vehicle specified in the Terms of Reference.
All the Contractor's personnel involved in the provision of the Services must be trained in all processes and types of Works, have the appropriate qualifications, have experience, skills and ability to perform Works in accordance with industry practice, have all the necessary certificates and certificates for the provision of the service. Drivers must have a compulsory passage of courses on safe driving in specialized accredited training centers, agreed by the customer service.
The vehicle must be in a technically sound condition, fully equipped with serviceable equipment, accessories, tools, a waybill or retractable ladder, in accordance with the requirements of applicable law, the Agreement and the transport application. Fueled with fuels and lubricants in the amount ensuring the performance of the Services on the transport request. The vehicle must be equipped with a serviceable BSMTS, with the provision of Weatherford (and / or the Customer, Weatherford Company) remote online access to the BSMTS. Also, the vehicle must be equipped with a video recorder (in some cases, two-sided, with the ability to record video inside the cabin and corresponding to the current requirements of the Customer in terms of technical characteristics (memory, resolution, etc.), a reverse sound signal, a spark arrester and everything necessary that is included in the main list of the Customer's requirements for travel to his production facilities.
The maximum age of the equipment in operation is 10 years, unless otherwise specified in the contract, or meets the technical requirements of the General Customer.
At various sites of the Customer's work, additional requirements for the vehicle and personnel may be applied, in accordance with the requirements of the Customer's transport safety.
Mandatory availability of the Contractor:
- documents and permits, in accordance with the requirements of the legislation of the Russian Federation and corporate standards in the field of health, safety and environmental protection, road safety, Technical Standard "Transport Safety", Technical Standard "Personal Protective Equipment";
- availability of dispatchers (persons performing this function) or agreements with organizations for the specified types of services;
- honey. employees for the examination of personnel or contracts with organizations for the specified types of services;
- controllers of those. the condition of vehicles (mechanics for the release of vehicles on the line, or persons performing this function) or contracts with organizations for the specified types of services;
- availability of a repair base or a contract for the repair and maintenance of equipment.
The Contractor undertakes:
- to comply with the terms of the Agreement and its annexes;
- maintain fixed rates for the services provided during the entire term of the agreement, unless otherwise provided by the Agreement;
- provide pre-trip, post-trip medical control of personnel;
- provide technical control of those. vehicle state;
- maintain at a time the minimum number of serviceable units of equipment with valid passes, both for drivers and vehicles for replacement;
- independently draw up contracts for travel on crossings, ferries, toll road sections;
- fulfill other requirements on the part of the Customer regarding the subject of the provision of services when they arise;
- when carrying out loading and unloading operations, the contractor ensures the safety of the work and compliance by the personnel performing the work with the requirements of the current norms and rules for health and safety of the legislation of the Russian Federation;
- ensure the passage of the transport audit at the request of the Customer.
