1. General terms of payment:
Payment for the Services rendered is carried out within 60 (sixty) calendar days from the date of signing by the Parties of the Certificate of Services rendered and on the basis of the original invoice of the Contractor.
The costs incurred by the Contractor related to the mileage to the place of provision of services to the place of base of work (location) from the place of basing (garage) of the Contractor, with repair, maintenance and maintenance of the serviceable condition of the transport, "shifting", provision of fuel and lubricants transport, insurance costs are not subject to payment , taxes, expenses for the maintenance of the Contractor's employees, including travel expenses, per diem and other expenses associated with the provision of transport services.
During the execution of the assignment, Weatherford LLC does not provide the Contractor's personnel with food, a place of rest and accommodation. The creation of conditions for the comfortable execution of the Assignment by the Contractor's own personnel is carried out by and at the expense of the Contractor.
Travel on toll road sections (except for costs accrued by the Platon system), ferries and ferries, transportation of oversized cargo (clearance costs) are compensated by the Customer on the basis of supporting financial documents, by prior agreement of these costs with the Customer.
When providing transport services at remote and autonomous fields, the Customer provides for the possibility of refueling the Contractor's vehicle with fuel, with subsequent re-billing of costs. This offer is not an obligation, and the Contractor independently decides on the method of refueling in order to ensure the operability of the vehicle without downtime and disruption of the production program.
2. Operating mode "Monthly rate":
Payment for 1 (one) month of using a vehicle with a crew. For payment for services rendered, acts of completed work are accepted, confirmed by the BSMTS report and the corresponding marks in the waybill of the authorized representative of Weatherford. In case of early termination of work or provision of services, payment of a part of the monthly rate is made in proportion to the worked shifts (days) per month. Mileage in excess of the established travel standard per month is paid at an additional rate for 1 km. mileage of the vehicle.
3. Smena operating mode:
Acts of completed work are accepted for payment for services rendered. The volume of work performed consists of the actual mileage and actual hours of waiting for the vehicle, confirmed by a report from the BSMTS (On-board vehicle monitoring system) and the corresponding marks in the waybill of the authorized representative of the Customer.
In case of cancellation of a previously sent application, within the term specified in the Agreement, the waiting for the start of the provision of services is not paid, only the actual mileage of the vehicle from the garage of the Contractor to the place of provision of services and back is subject to payment.

Carrying out work on the provision of transport services and transportation of goods in the production areas of the main Customers: LLC Lukoil-ZS, LLC RN-YUNG, JSC RN-Nyaganneftegaz, LLC Sevkomneftegaz (Gubkinsky, Severo-Komsomolskoe m / p), OOO GPN-Development (Tazovskoye field), OOO GPN-Zapolyarye (Pestsovoye field, West Tarkosalinskoye field), etc.
Vehicle operating mode with a crew.
1. Operating mode: "Change" (sublot No. 1.1). The contractor provides transport services for
one-time Transport Application. The route and schedule of movement is established according to the production situation. The vehicles are at the disposal of an authorized Weatherford employee and carry out his operational tasks.
During the movement of the vehicle, the actual data on the kilometers traveled are recorded, excluding the time the vehicle is on the road.
Waiting time - the time during which the vehicle was engaged to provide services without movement (loading / unloading, downtime due to weather conditions, etc.), exclusively when performing a production task, with a mandatory mark in the waybill about the time of arrival and departure of the vehicle to / from the object / s of the work (the waiting time does not include intermediate refueling, time for lunch and the driver's sleep, waiting from 0:00 to 8:00 if this time is not provided for by the task, etc. that is not related to the execution of the production task according to the Application ). The time spent by the vehicle in standby mode is recorded by the corresponding marks of the authorized representative of Weatherford in the waybill about the time of arrival and departure of the vehicle to / from the object / s of the work and is confirmed by a report from the BSMTS (Onboard Vehicle Monitoring System), but not more than 16 hours a day ...
The customer does not limit the vehicle mileage and the waiting time during the execution of the production task according to the Application.
Mileage limitation: unlimited.
2. Mode of operation "Monthly rate" (sublot No. 1.2 and 1.3):
Cars with a crew are at the disposal of an employee of the customer's company 7 days a week, and carry out his operational tasks. Opening hours per day 11 hours. According to the operational situation, the schedule can be adjusted, in case of overwork, the driver is given additional time to rest, work at night is possible, after which the driver is also given time to rest. Depending on the operational situation, the route and location of the vehicle with the crew may change.
The location of the vehicle with the crew is determined by the terms of reference and is reflected in the lot.
If necessary, the Contractor makes periodic trips from the base to the production base of Weatherford LLC, Nizhnevartovsk.
In case of shift shift, the Contractor is obliged to ensure the change of personnel and vehicles, without interrupting the work schedule of the Customer.
Limiting mileage for vehicles assigned to the project (location: Nyagan, Nefteyugansk, Nizhnevartovsk, Kogalym, Noyabrsk, Novy Urengoy, etc.) average mileage no more than 6,500 km per month. for each vehicle.
The specificity of the transport operation includes the execution of tasks exclusively on request.
In the normal mode, the Contractor renders Services solely on the basis of the Customer's Transport Orders transmitted to the Contractor by e-mail, with confirmation of the acceptance of the Application by the Contractor by e-mail and telephone to the address of the Customer's contact person, signed by both Parties of the Transport Application from the Contractor. The route of the trip is determined by the Customer and indicated in the Application. A change in the route is made exclusively with the agreement of the Customer, followed by a mark in the waybill.
If it is necessary to provide urgent or additional Services that have arisen as a result of an emergency, an accident at the Customer or other unforeseen circumstances, the Customer shall submit an application to the Contractor marked "URGENT", the commencement of which, if the Contractor has free vehicles and human resources, is obligatory within the time specified by the Customer. A one-time application marked "URGENT" The Contractor is obliged to consider, sign and return to the Customer within 2 (two) hours from the moment of its receipt.
At the request of the Customer, in order to fulfill the Transport Application marked "URGENT", the car must be provided as soon as possible, but not more than 4 (two) hours plus the time required to travel to the place of work.
In the event of a breakdown of equipment during the transportation of goods and equipment, inform the Customer about this and immediately take measures to replace the emergency equipment as soon as possible, taking into account the time required to travel to the place of work.
When transporting goods and equipment to the Customer, it is necessary to make a note about the time of arrival and departure of the vehicle to / from the object / s of the work; when transporting goods, the driver must receive a formalized TN (waybill).
General requirements for vehicle and crew.
The Contractor provides the crew (personnel) to perform the Services specified in the Transport Application. Personnel must have the required clearance when entering the line. The personnel must be provided with the necessary minimum set of PPE, including:
• Safety shoes with impact-resistant toe cap;
• Helmet;
• Protective glasses;
• Overalls;
• Work gloves.
• Other PPE required by the security policy at the Customer's facilities, including PPE required to prevent the spread of the COVID 19 virus.
At least 50% of the vehicles (TC) for the "positions declared for the competition" must be registered in the ownership of the Contractor. Involvement of third parties (subcontracting) is allowed by prior written agreement with Weatherford LLC.
It is obligatory to have replacement vehicles and personnel (in case of an emergency), with valid passes for travel to the facilities of the main Customers.
The beginning of the provision of transport services by the Contractor begins from the moment the application is received. If necessary, the vehicle and the driver must be prearranged with passes to the facilities of the main Customer, Weatherford LLC. During the execution of the contract, an increase in the production program is possible and the Contractor must be ready to provide equipment in an amount exceeding the minimum availability of the vehicle specified in the Terms of Reference.
All the Contractor's personnel involved in the provision of the Services must be trained in all processes and types of Works, have the appropriate qualifications, have experience, skills and ability to perform Works in accordance with industry practice, have all the necessary certificates and certificates for the provision of the service. Drivers must have a compulsory passage of courses on safe driving in specialized accredited training centers, agreed by the customer service.
The vehicle must be in a technically sound condition, equipped with appropriate tires for seasonal operation of the vehicle (winter studded tires in winter, summer tires for possible driving on difficult road conditions), fully equipped with serviceable equipment, accessories, tools, overhead or retractable ladder, in accordance with with the requirements of applicable law, the Agreement and the transport application. Fueled with fuels and lubricants in the amount ensuring the performance of the Services on the transport request. The vehicle must be equipped with a serviceable BSMTS, with the provision of Weatherford LLC (and / or the Customer Company Weatherford LLC) of remote online access to the BSMTS. The cargo in the body of the pickup truck must be protected from atmospheric precipitation; a protective cover or "kung" must be installed on the vehicle body. Also, the vehicle must be equipped with a video recorder (in some cases, two-sided, with the ability to record video inside the cabin and corresponding to the current requirements of the Customer in terms of technical characteristics (memory, resolution, ensuring recording before updating to one memory card for at least 24 hours of operation with the engine running, etc.) etc.), a reverse sound signal, a spark arrestor and everything necessary that is included in the main list of the Customer's requirements for travel to his production facilities.
The maximum age of the equipment in operation is 5 years, unless otherwise specified in the contract, or meets the technical requirements of the General Customer.
At various sites of the Customer's work, additional requirements for the vehicle and personnel may be applied, in accordance with the requirements of the Customer's transport safety.
Mandatory availability of the Contractor:
- documents and permits, in accordance with the requirements of the legislation of the Russian Federation and corporate standards in the field of health, safety and environmental protection, road safety, Technical Standard "Transport Safety", Technical Standard "Personal Protective Equipment";
- the presence of dispatchers (persons performing this function) or contracts with organizations for the specified types of services;
- honey. employees for the examination of personnel or contracts with organizations for the specified types of services;
- controllers of those. the condition of cars (mechanics for the release of vehicles on the line, or persons performing this function) or contracts with organizations for these types of services;
- availability of a repair base or a contract for the repair and maintenance of equipment.
The Contractor undertakes:
- comply with the terms of the Agreement and its annexes;
- maintain fixed tariffs for the services provided during the entire term of the agreement, unless otherwise provided by the Agreement;
- ensure pre-trip, post-trip medical control of personnel, as well as the passage of all drivers for COVID-19 testing in accordance with the order of the federal authorities;
- provide technical control of those. the condition of the vehicle, organize control examinations of vehicles before leaving the highway (route) / before starting work, organize work on road safety in accordance with the requirements of the Federal Law of the Russian Federation of 10.12.1995 No. 196 FZ "On road safety";
- carrying out works on disinfection of t / s in accordance with the requirements and regulations;
- maintain at a time the minimum number of serviceable units of equipment with valid passes, both for drivers and vehicles for replacement;
- independently draw up contracts for travel on crossings, ferries, toll road sections;
- fulfill other requirements on the part of the Customer regarding the subject of the provision of services when they arise;
- ensure the passage of the transport audit at the request of the Customer.
