Payment terms:
1. Operation mode: "Change". Payments for the services rendered are accepted acts of the work performed, confirmed by the report from BSMTS and the corresponding marks of the authorized representative of the Customer in the waybill on the time of arrival and departure of the vehicle to / from the facility / a work, but not less than the minimum work shift - 11 hours, according to the current tariff for vehicle.
2. Payment of the "Monthly rate" operating mode:
Payment of 1 (one) month of using the car with the crew. Payments for the services rendered are accepted acts of work performed, confirmed by the report from BSMTS (On-board vehicle monitoring system) and the corresponding marks in the waybill of the authorized representative of the Customer.
In the event of early termination of work or the provision of services, part of the monthly rate is paid in proportion to the worked shifts per month and hours per shift.
3. Operation mode: "Visiting". Acts of work performed, consisting of the actual mileage and the actual hours of waiting for the vehicle, confirmed by the report from BSMTS (On-board Vehicle Monitoring System) and the corresponding marks of the authorized representative of the Customer, according to the current tariff for vehicles, are accepted as payment for the services rendered. Carriage in one flight, including travel on roads, both paved and hard to reach, is calculated as the sum of such trips (combined option).
Payment for the rendered Services is carried out within 90 (ninety) calendar days, but not less than 60 (sixty) calendar days from the date of signing by the Parties of the act of the rendered Services and on the basis of the original invoice of the Contractor.
The expenses incurred by the Contractor for repair, maintenance and maintenance of the transport, fuel and lubricants, insurance costs, expenses for the maintenance of the Contractor’s employees, including travel expenses, per diem and other expenses related to the provision of transport services, shall not be paid. During the execution of the Task, the Customer does not provide the Contractor's staff with food, a place of rest and overnight. Creation of conditions for comfortable fulfillment of the assignment of the Contractor’s own personnel is carried out by and at the expense of the Contractor.
Travel on toll road sections (except for the expenses charged by the Plato system), ferries and ferries, transportation of oversized cargo (clearance costs) are compensated by the Customer on the basis of supporting financial documents.
In the provision of transport services by the vehicle and the crew in the area of the Novoportovskoye field and other possible autonomy objects, the Customer pays for the accommodation and delivery / removal of personnel to / from the field at his own expense. As well as in the provision of transport services at remote and autonomous fields, the Customer provides for the possibility of refueling the Contractor's TS with fuel, with subsequent re-allocation of costs. This proposal is not an obligation, and the Contractor independently decides on the method of refueling in order to ensure the operability of the vehicle without downtime and disruption of the production program.
Delivery terms:
Transport for the transport of equipment and goods, lifting equipment, slinger services.
The presence of a transport company equipment with the crew:

Vehicles (TS) must be executed in the ownership of the Contractor. It is allowed to attract third parties (subcontracting) by prior written agreement with the Customer. In view of the tightening of requirements on the part of Customers on the Transport Security policy, the involvement of Individual Entrepreneurs (IP) for the provision of services, incl. Subcontracting is not recommended (with the exception of equipment specified in Sublot No. 5).
It is mandatory that there is a substitute transport and drivers (in case of an emergency), with valid passes for travel to the facilities of the main customers.
The Contractor begins to provide transport services from the moment of receipt of the application with the availability of pre-issued passes for the vehicle and a driver for the objects of the main Customer of the company Weatherford LLC.
During the execution of the contract, an increase in the production program is possible and the Contractor should be ready to provide equipment in an amount exceeding the minimum vehicle availability specified in the Terms of Reference.
The Contractor provides the crew (staff) to perform the Services specified in the Transport Application. Personnel must have the necessary tolerances when entering the line. Personnel should be provided with the necessary minimum set of PPE, including:
• Safety shoes with shockproof toe cap;
• Helmet;
• Protective glasses;
• Overalls;
• Work gloves.
• Other PPE required by the security policy at the Customer’s facilities.
All Contractor personnel involved in the provision of the Services must be trained in all processes and types of work, have the appropriate qualifications, have experience, skills and ability to perform work in accordance with industry practice, have all the necessary certificates and certificates. Drivers must have compulsory courses on safe driving in specialized accredited training centers, agreed by the customer service.
The vehicle (TS) must be in technically sound condition, fully equipped with serviceable equipment, accessories, tools, a bill of lading or a retractable ladder, in accordance with the requirements of applicable law, the Agreement and the Transport Application. Filled with fuels and lubricants in the amount that ensures the performance of the Services on the Transport Application. The vehicle must be equipped with a working On-Board Vehicle Monitoring System (BSMTS), with the provision of remote access to the BSMTS to the Customer online. Also, the vehicle must be equipped with a video recorder (in some cases, two-way, with the ability to record video inside the cabin and corresponding to the current customer requirements for technical specifications (memory, resolution, etc.), an audio signal for reversing, a spark arrester and everything that is included in The main list of customer requirements for travel to its production facilities.
The age limit for operating equipment is 10 years.
At various objects of the Customer’s work, additional requirements for the vehicle and crew may be applied in accordance with the security requirements of the General Customer, for example:

Mandatory availability of the counterparty (Contractor):

The Contractor undertakes:
- comply with the terms of the Agreement and its annexes;
- maintain fixed tariffs for the services provided throughout the term of the contract. In case of changes in fuel prices more than 15% of the price at the time of the conclusion of the contract, the parties decide on the possibility of adjusting tariffs.
- provide pre-trip, post-trip medical control of personnel;
- provide technical control of those. vehicle condition;
- maintain at the same time the minimum number of operational units of equipment with valid passes, both for drivers and vehicles for substitution;
- draw up travel agreements on ferries, ferries, toll roads on their own;
- to fulfill other requirements on the part of the Customer regarding the subject of the provision of services when they arise;
- ensure the passage of transport audit at the request of the Customer.
