Payment terms:The Customer pays for the work by transferring funds by payment orders to the Contractor's settlement account within 120 (one hundred and twenty) calendar days from the date of acceptance by the Customer of the result of the work and signing the act of acceptance of the work performed, on the basis of the invoice issued by the Contractor, issued in accordance with the requirements of regulatory documents.
Delivery terms:The term of the contract is from 01.05.2022 to 31.12.2022.
The Contractor undertakes to modernize the equipment transferred to him by the Customer within 30 (thirty) calendar days from the date of signing the acceptance certificate-transfer of equipment for modernization.
On the part of the Contractor, it is possible to perform the work ahead of time by prior agreement with the Customer."
Production areas of the Contractor.
"The Customer undertakes to prepare, i.e. to clean the equipment transferred for modernization and notify the Contractor of its readiness for shipment. At the time of delivery of vehicles from the Contractor, the Customer undertakes to load the equipment.
The contractor undertakes to monitor the progress of loading and exercise full control over the placement of cargo in the vehicle, taking into account the distribution of loads along the axes, in order to avoid violations of the laws of the Russian Federation and the regions of the Russian Federation.
The equipment subject to modernization is accepted according to the acts of acceptance for modernization and the acts of acceptance and delivery of repaired, reconstructed, modernized fixed assets (form OS-3)."

This price request procedure is not a competition procedure. The Organizer has the right to refuse all received offers for any reason or to terminate the procedure for requesting prices at any time, without incurring any responsibility to Suppliers!!!

The upgraded equipment must meet the requirements of the technical specification.
The Contractor establishes a warranty period of 18 (eighteen) months for the completed Equipment modernization works from the moment the Equipment is put into operation, subject to the conditions of proper care and maintenance during operation by the Customer.
The contractor guarantees the gratuitous elimination in the shortest possible time (within 10 days) of defects (including hidden ones) caused by his fault and discovered during the warranty period, as well as the replacement of parts that have failed during this period.
Warranty obligations apply to all components of the Equipment, except for wear-out parts, the term of which is less than the specified warranty period.
The warranty period for component parts must comply with the established standards or specifications for these products.

MANDATORY ACCEPTANCE OF THE CONTRACT AS AMENDED BY THE CUSTOMER.
1. The cost of work under this contract is determined by the Protocol of approval of the price for the performance of work.
2. Requirements for the Contractor:
1) The presence of a production base no more than 400 km from the city of Almetyevsk RT - property or lease.
2) Experience in repairing oil and gas drilling equipment for at least 3 years (confirmed by contracts).
3) Availability of material and technical resources to perform the work.
4) ISO 9001 certificate for maintenance and repair of drilling oil and gas equipment.
5) Availability of service - supporting documents.
6) Availability of a laboratory for conducting flaw detection (ultra-sound, capillary, magneto-powder) - a subcontract, certificate.
7) Availability of a laboratory for the Examination of industrial safety of oilfield equipment - subcontracting agreement, certificate.
3. In case of failure of the equipment belonging to the Customer (due to the Contractor), during the warranty (post-repair) period, as well as identification of the fact of inoperable equipment belonging to the Customer during the performance of works (services), the Customer has the right to recover from the Contractor a penalty (penalty) in the amount of the cost of an hour of idle drilling rig (Appendix No. 5) for every hour of delay.
4. In case of violation of the terms of repair of equipment, according to the terms of this agreement on the basis of a mutually agreed list and a monthly repair plan, the Contractor will be penalized in the amount of 0.1% of the cost of the work performed on this repair for each day of delay.
5. In case of detection of a defect in the work performed during the term, the Customer within two days from the moment of detection of the marriage notifies the Contractor in writing about this fact. The Contractor, within one day from the date of receipt of the specified notification, not counting the time spent on the way, is obliged to send his representative to draw up an act of investigation of the incident and downtime of the drilling crew of the Customer (Appendix No. 7) and make a decision on its elimination.
6. In case of non-arrival of the Contractor's representative on time, the Customer draws up an act of investigation of the incident and downtime of the drilling crew of the Customer unilaterally and sends one copy of this act to the Contractor by e-mail to: _______________.
7. In the act of investigation of the incident and the downtime of the drilling crew of the Customer, the downtime of the drilling crew, the causes of the incident and the guilty party are necessarily recorded.
If the Contractor is recognized as the guilty party, the specified act is sufficient grounds for the Customer to file a claim against the Contractor for the payment of a penalty (penalty fee) in the amount of the cost of an hour of downtime of the drilling rig (Appendix No. 5) for each hour of delay. The fact of downtime (unproductive work) of the drilling crews of the Customer can be confirmed by acts of investigation between the Customer and the customer of well construction, as well as other documents and evidence confirming these circumstances.
8. After drawing up the act of investigation of the incident and the downtime of the drilling crew of the Customer, signed by the parties, with the established fault of the Contractor or in accordance with the procedure established by paragraph 5.4. of this agreement, the Contractor is obliged to eliminate the marriage on its own and at its own expense within 20 (twenty) days. In case of violation of the specified period, the Customer has the right to collect a penalty (penalty) from the Contractor in the amount of the cost of an hour of downtime of the drilling rig (Appendix No. 5) for each hour of delay.
The warranty period for the work performed is extended for the time spent by the Contractor to eliminate the above-mentioned defects.
9. If a dispute arises between the Customer and the Contractor over defects (defects) in the work performed and it is impossible to settle this dispute by negotiations, an expert examination may be appointed at the request of either Party. The costs of the examination are borne by the initiator of the examination, with subsequent compensation of expenses by the guilty Party.
