OBLIGATORY ACCEPTANCE OF THE CONTRACT IN THE VERSION OF THE CUSTOMER.
1. The cost of equipment repair services offered by the Contractor shall be calculated from the cost of materials and services according to annex No. 1 of the specification. Equipment imported to the Contractor's production base by the Claim Contractor must be repaired within 10 working days, from the moment of the equipment being imported.
2. Requirements for Contractor:
1) Availability of production base in Orenburg - property or rent.
2) Availability of air defense repair experience at least 3 years (confirmed by contracts).
3) Availability of material and technical resources to perform work:
- Stand for hydraulic testing of air defense (property or lease with supporting documents).
- Air defense test booth with inert gas (property or lease with supporting documents).
- Lathing machine (property or lease with supporting documents).
- Welding semi-automatic machine (property or rental with supporting documents).
- Apparatus for surfacing (property or rental with supporting documents).
- Milling machine (property or lease with supporting documents).
4) ISO 9001 certificate for maintenance and repair of drilling oil and gas equipment
5) Availability of service - supporting documents
3. In case of failure of equipment belonging to the Customer (due to Contractor) during warranty (post-repair) period, as well as identification of failure of equipment belonging to the Customer In the course of the performance of the works (services), the Customer is entitled to collect from the Contractor a fine in the amount of the value of the idle (non-productive works) of the rig (according to the types of BU) based on the cost of the cost of the one hour of downtime (Appendix No. 5 to the contract, the cost of an hour of downtime is adjusted unilaterally once a quarter), but not more than the cost of the repair. If there is no downtime (unproductive works) of the drilling rig, the Customer has the right to recover from the Contractor a fine of 50,000 rubles and the actual costs incurred for the dismantling of the failed equipment and installation of negotiable equipment.$
4. In case of violation of the terms of repair of equipment, according to the terms of this agreement on the basis of mutually agreed list and monthly repair plan, the Contractor will be subject to penalties in the amount of 3% of the cost of the work carried out on this repair for each week of delay.
5. In case of failure of warranty equipment, the Customer has the right to dismantle it without agreement with the Contractor. Upon arrival of the Contractor at the facility (well), the parties shall establish a commission composed of competent, authorized representatives of the Customer and the Contractor, capable of identifying the guilty party without additional investigation in shop conditions, assigned by orders for enterprises. The commission investigates and determines (establishes) the cause of failure of equipment, with mandatory registration and signing from two sides of the act of investigation of the incident.
6. The Commission shall determine the party who permissible the incident directly at the drilling site on the day of the investigation, and if there is no evidence of the fault of the Customer, $ Confession Contractor. Which, in the event of disagreement with the decision of the commission, after the removal of the equipment to the base of the Contractor (the transport is provided by the Contractor), carrying out additional investigation at its own expense, is entitled to submit proof of his innocence in the incident and to refute the decision of the commission. When conducting additional investigation, the Contractor undertakes to ensure the presence of the Customer's representative and to carry out his call in advance. Additional investigation is carried out only in the Contractor's production areas (the investigation of the subcontractor's production areas is excluded, if they are involved). Equipment imported to the Contractor's production base by the Claim Contractor must be repaired within 10 working days, from the moment of the equipment being imported.
7. As a result of the investigation, the commission shall draw up an act of investigation, which the parties are obliged to sign, refusal to sign the act is not allowed. In case of refusal of the representative of the responsible party established as a result of the investigation from signing the act, the act shall be deemed to be signed in favor of the other party, for which the corresponding mark is made in the act.
This act is the basis for compensation (payment) by the guilty party for damages caused by incident, downtime or unproductive work at the expense of the guilty party, including penalties, $ presented to the customer by third parties.
In the event that the Contractor is found guilty, the said act is the basis for the Customer's claim against the Contractor. Compensation (payment) of damages, including penalties, is carried out by adjusting to reduce the volume of works performed by the Contractor for the amount of losses (fine) and payment of performed work taking into account the deduction of the downtime (unproductive time) specified in the claims filed and recognized by the Contractor or left unanswered within 30 calendar days, or transfer of funds to the Customer's account on the basis of the claim.
The repair of the equipment shall be carried out in accordance with the requirements of the equipment manual and the standards in force. Warranty period for the works performed on repair of equipment is:
- for major repair of equipment 6 months or 4 wells;
Warranty conditions on RTI used during repair — 1000 hours.
Term of validity of the contract from 01.01.2020 to 31.12.2020g.
The term of the current repair is not more than 5 days from the moment of delivery of equipment by the Customer to the production base of the Contractor. The period of capital repair is not more than 20 days from the moment of delivery of equipment by the Customer to the production base of the Contractor.
