Payment terms:
Payment for the Products / Lot of Products is made by the Buyer with a deferred payment of at least 30 (thirty) and no more than 60 (sixty) calendar days from the date of delivery of the Products (the date of signing by the Parties TORG-12 / UPD), provided that the Buyer provides a full set of documents for payment for the Products / Production Lot:
- The original bill of lading (TORG-12 form) / UPD for Products signed by the Parties - 2 copies .;
- Original invoice - 1 copy;
- The original invoice or UPD for the shipped batch of Products - 1 copy;
Settlements under the Agreement are made by transferring funds to the Supplier’s bank account specified in Article 10 of this Agreement, and may also have a different form of settlement that does not contradict the legislation of the Russian Federation.
Delivery terms:
1. Delivery of the Products is carried out by rail or road by forces and at the expense of the Supplier to the railway station of destination of the Consignee or the warehouse of the Consignee, respectively (column 15 of table 1).
2. Packaging must ensure the safety of the Products from damage and damage during transportation by all modes of transport, transshipment and storage.
3. Product labeling must comply with GOST 30732-2006.
4. Container (packaging) is non-refundable.
5. The products must be equipped with all related accessories (spare parts, components, etc.) and be accompanied by documentation in Russian (technical passport, certificates of compliance with technical requirements, provisions of standards, codes of practice, GOST established for this type of products , operating instructions, other documents supplied by the manufacturer, containing information about warranty obligations, the availability of a service center, addresses and methods of contact with it, etc.).
6. The scope of supply (column 8 of table 1) is preliminary and will be specified by the buyer according to current needs.
7. Early delivery of the Products is made only with the written consent of the Buyer.
8. The buyer has the right to refuse to accept the Products according to the agreed specification if the delivery on it is overdue for more than fifteen calendar days.
