Payment terms:

Delivery of goods is carried out by separate batches (no more than two batches of goods for each branch of LLC "Weserford" per month), during the term of the contract, the quantity and assortment of each batch are determined by agreement of the parties in writing to Buyer's request, taking into account the buyer's needs.
The quantity specified in lot is forecasted and is subject to change within the option, both on separate positions, and on the total quantity.
Delivery (shipment) of the goods is carried out on the basis of the specification signed by both parties to the contract, in accordance with the delivery deadlines specified in the annex. Approximate period of approval of the purchase requisition is 7-14 days.
It is forbidden to change the name, brand, model, unit of measurement, etc. specified in the lot, any changes to indicate in the additionally created graph.
The proposals of the providers that fulfil the following conditions shall be considered:
1. All positions on the sub-lot (minimum for one branch) are filled. Other things being equal, priority is given to the offeror participating in the largest number of sub-lots (delivery to all branches of "Weserford" Ltd).
2. Applications from suppliers who offer analogue and/or replacement goods other than claimed in the consignment are not accepted for consideration. Exceptions are cases when the declared goods are withdrawn from production, or there is no possibility of its delivery for objective reasons.
3. Delivery basis: Buyer's Warehouse. (Addresses of consignees are indicated above)
4. The price of delivery remains unchanged for the entire period of the contract until 31.12.2019 G. The application is signed (Price-list to the contract with the price per unit of goods). 5. The quantity specified in lot is forecasted and is subject to change within the option, both on separate positions, and on the total quantity.
6. Delivery of the tmsc is carried out in batches in accordance with the buyer's requests on the basis of the application signed by both parties (specifications to the contract).
7. Payment of delivered goods is carried out within 60-120 calendar days from the date of delivery of the goods on the basis of the original invoice and the supplier's invoice. The maximum-allowable period of payment deferral is indicated by the supplier in the offer.
8. In the submitted offer there is a contract signed by the offeror without disagreement. The protocol of disagreement can be considered by the customer, but the priority has proposals decorated without deviations from the established form of the contract.
9. Transportation costs are included in the price of the goods.
10. The Supplier shall carry out the required customs procedures in accordance with the applicable law. Customs payments are carried out by the supplier at the expense of own funds. (If necessary)
11. Upon delivery, the Supplier shall provide the following documents (if necessary):
Permission to use the goods on the territory of the Russian Federation, declaration of Conformity TR CU;
Technical documentation necessary for the use of the goods; (Passport, operating instructions);
The document confirming the warranty obligations on the goods;
Documents confirming the passage of all customs procedures;
The safety passport of the substance in Russian.
12. All additional comments and suggestions the provider has the right to express in a free form as a part of a commercial proposal (clause 7-Other essential conditions)
All documentation is available in Russian. In case of delivery of imported equipment the supplier carries out translation of the documentation into Russian at his own expense.
Comments: 1. Please ask all questions about the procedure by using the ETP functional (clarification requests).
2. To the offers in electronic form to participants of this procedure it is necessary to attach all necessary documents at the moment of opening of envelopes with submission of the offer signed by the authorized person and stamped Organization Party to this procedure. The organizer of the procedure reserves the right not to consider the offer of the participant in case of failure or improper fulfillment by the participant of the procedure of this requirement.
The supplier offer is valid for at least 6 months.
3. The supplier of the product must be the manufacturer, or the official dealer of the manufacturer, or distributor (supporting documents the participant provides simultaneously with the commercial offer).
4. The pricing mechanism must be unchanged for the entire delivery period.
Note: Note, this RFP is not a notice of tender (public tender) or a public offer and is not subject to Articles 447 - 449, Part I, and Articles 1057 - 1061, Part II, of the Civil Code of the Russian Federation. Thus, this procedure does not impose the corresponding amount of civil and legal obligations on the Organizer, and the Organizer reserves the right to refuse all the proposals received for any reason, or to terminate the selection procedure at any time, incurring no liability before the participants.
