The rights of claim of JSC UniCredit Bank and JSC Banca Intesa to CJSC Krinum (OGRN 1067746382549, 107078, Moscow, Novoryazanskaya str., 18, p. 22) arising from the Loan Agreement concluded on May 23, 2008 between JSC Raiffeisenbank, CJSC Unicredit Bank (currently – Joint Stock Company "UniCredit Bank") and CJSC "Krinum" (borrower), subsequently JSC "Raiffeisenbank" and JSC "Unicredit Bank" partially ceded to CJSC "Banca Intesa" (currently Joint Stock Company "Banca Intesa") their claims under the loan agreement on the basis of the agreement of assignment of the rights of the lender dated 15.10.2008 (hereinafter referred to as the "Loan Agreement"), subject to all amendments and additional agreements thereto, as well as the rights of claim under the following agreements that ensure the fulfillment of obligations under the Loan Agreement (subject to all amendments and additional agreements):
- Guarantee agreement of a legal entity;
- Pledge agreement for shares of a legal entity;
- Contract of assignment of rights (claims) with a legal entity;
- Mortgage agreement dated May 23, 2008 of non-residential premises with a total area of 22,079.7 sq.m. and the land plot under them. Neither the Procedure, nor this notification, nor any other document provided for by the Procedure is an offer (in the meaning of Article 435 of the Civil Code of the Russian Federation)), a public offer (in the meaning of paragraph 2 of Article 437 of the Civil Code of the Russian Federation), a preliminary agreement (in the meaning of Article 429 of the Civil Code of the Russian Federation), a framework agreement (in 429.1 of the Civil Code), an option to conclude a contract (in the meaning of Article 429.2 of the Civil Code of the Russian Federation) or an option contract (in the meaning of Article 429.3 of the Civil Code of the Russian Federation), a negotiation agreement (in the meaning of Article 434.1 of the Civil Code of the Russian Federation), or another mandatory (public) offer to sell a lot or make a Transaction in another way.
The Application and participation in the Procedure do not qualify and cannot qualify as acceptance (including, within the meaning of clause 3 of Article 438 of the Civil Code of the Russian Federation) and (or) the consent of the participant of the Procedure to purchase the lot, and (or) the Transaction in any other way, and do not imply from the participant the direction of acceptance or consent to purchase the lot and (or) making a Transaction in another way.
JSC UniCredit Bank is not obliged and will not be obliged, upon completion of the Procedure, to sell the lot to the participant of the request who offered the maximum purchase price of the lot, or to make a Transaction with this participant in any other way.
JSC UniCredit Bank has the right to terminate the Procedure without explanation and without any liability for JSC UniCredit Bank at any time before the date of its completion (inclusive). No document provided for by the Procedure can serve as a basis for filing claims in court.
