Payment terms:
The basis for calculations is the acceptance certificates of the services rendered and the invoice (in the case of applying the simplified taxation system, the invoice is not included in this clause in the contract) presented by the Contractor to the Customer. Note: In case of exemption of the counterparty from VAT taxation, it is necessary to indicate the basis, to attach to the contract documents provided by the counterparty that are the basis for exemption from VAT taxation. The Customer pays to the Contractor the services rendered within 45 calendar days (in the case of providing services by the SME entity for 30 calendar days) from the date of signing by both parties of the acceptance certificate of the services rendered and the invoice (in the case of applying the simplified taxation system, the invoice does not included), provided that the originals of the documents submitted are properly executed in accordance with the requirements of the legislation of the Russian Federation.
The date of payment shall be the date on which the payment order is executed by the Customer’s bank when transferring funds to the settlement account specified by the Contractor, and if settlements are made by bank bills, then from the date the Customer signs the bill of delivery and acceptance, in the case of a letter of credit, payment obligations are considered to be fulfilled from the date of opening of the letter of credit . By agreement of the parties, the Customer is entitled to make settlements under the agreement in the form of cash, bank bills, settlements using accredited the first form of settlements of PJSC Sberbank (open letter of credit). The parties are obliged to reconcile quarterly settlements for obligations arising from this agreement. In the month following the reporting quarter, the Customer submits to the Contractor reconciliation statements of settlements in 2 copies drawn up on the last day of the month of the last quarter. The Contractor, within 5 (five) business days from the date of receipt, signs a reconciliation certificate in the form provided by the Customer, and returns one copy to the Customer. If there are disagreements, the act shall be signed with the indication of disagreements.
