Payment terms:The Customer settles for the work by transferring funds by payment orders to the Contractor's settlement account within 120 (one hundred twenty) calendar days from the date of signing by the parties of the acceptance certificate of the work performed and the acceptance certificate of the equipment from repair without the Customer's comments, with the obligatory indication of the inventory numbers of the equipment , by attaching a defective statement, indicating the location of defects detection (type, serial number of the drilling block, well), an act for returnable materials (scrap metal) from repairs signed by the financially responsible person of the Customer, a unified form of OS-3 acts, invoices of the Contractor for the completed scope of work, invoice.

The term of the contract is from 01.01.2021. until 31.12.2021
- for the overhaul of equipment, the repair period is set no more than 30 (thirty) calendar days from the date of delivery of the equipment to the Contractor's production base;
- for overhaul / current repairs of equipment imported under a complaint, the repair period is set no more than 10 calendar days from the date of delivery of the equipment to the Contractor's production base.

Equipment repair work must be carried out in accordance with the requirements of the equipment operation manual, GOST, TU and current standards. The warranty period for the equipment overhaul work performed is 12 months and at least 1000 motorcycle hours from the moment the equipment is put into operation.

"OBLIGATORY ACCEPTANCE OF THE CONTRACT AS REVISED BY THE CUSTOMER.
1. The contractor undertakes to complete Appendix No. 1 of this specification in the form of a technical and commercial proposal.
2. Involvement of third-party enterprises for subcontracting is allowed only upon written agreement with the Customer for the transfer of equipment to subcontracting.
3. When attracting subcontractors, the costs of delivering equipment from repair and for repairs are included in the cost of repairing equipment, the responsibility for organizing the delivery belongs to the Contractor.
4. The cost of the equipment repair services offered by the Contractor shall be indicated taking into account transport and travel expenses, wages, insurance, rent, taxes, customs duties, fees and other mandatory payments. Based on the results of the ETP, the applicant agrees with the Customer the planned calculation of the cost of work, the cost of the standard hour of services, the calculation parameters, and also provides the approved standards for the performance of work.
5. The Contractor has qualified personnel with experience in the overhaul of Allison automatic transmissions (automatic transmissions). Availability of the certificate of the official dealer of the "Allison" company, authorizing the Supplier to carry out the service. warranty service and repair of automatic transmission "Allison".
5.1. The Contractor undertakes to carry out tests on all types of the Customer's equipment being repaired on a running-in stand under load according to the test method and according to the passport characteristics.
6. Providing by the Contractor to the Customer, 3 (three) days prior to the Request for Quotation procedure: the estimated cost of overhaul of each unit of the repaired equipment.
6.1. The cost of repair work for each piece of equipment is determined individually on the basis of mutually agreed defective statements with the use of spare parts, time rates and cost per hour for work in accordance with Appendix No. 1 to this specification, calculations for the repair of this equipment.
6.2. If it is necessary to use materials and components in the repair that are not specified in Appendix No. 1, the Contractor agrees with the Customer their cost by signing an additional agreement to the contract. The contractor confirms the cost of these materials and components with primary documents (invoices, invoices), the extra charge for materials and components not included in Appendix No. 1 should not exceed 5% of the supplier's price.
7. Only original spare parts used to repair equipment.
8. The positive experience of cooperation between the Contractor and OOO MC Tatburneft is welcomed.
9. The customer has the right to adjust the cost of the contract in the direction of reducing / increasing the volume of work performed.
10. Based on the results of the bidding, the Contractor must agree with the Customer the planned calculations, cost estimates of repairs with decoding of cost items.
11. After the overhaul of the drilling equipment, the Contractor undertakes to manufacture and fix a plate on the equipment body indicating the inventory and serial numbers in accordance with the OS-3 Act.
12. When carrying out a major overhaul, the Contractor undertakes to restore the condition of the equipment to full or close to full service life of the equipment in accordance with the technical characteristics specified in the equipment passport.
13. In the event of failure of the equipment belonging to the Customer (due to the Contractor) during the warranty (post-repair) period, as well as the identification of the fact of inoperability of the equipment belonging to the Customer, during the performance of work (services), the Customer has the right to collect a fine from the Contractor in the amount of the value downtime (non-productive work) of a drilling rig (by type of drilling rig) based on the cost of one hour of downtime (calculation of the cost of an hour of downtime of a drilling rig (by types of drilling rigs) is an annex to the contract). In the absence of downtime (unproductive work) of the drilling rig, the Customer is entitled to collect a fine of 50,000 rubles from the Contractor.
14. In case of violation of the terms of equipment repair, in accordance with the terms of this agreement on the basis of a mutually agreed list and a monthly repair plan, the Contractor will be penalized in the amount of 0.1% of the cost of work performed on this repair for each day of delay.
15. In case of failure of the warranty equipment, the Customer has the right to dismantle it without agreement with the Contractor. Upon the arrival of the Contractor at the facility (well), the parties set up a commission, which includes competent, authorized representatives of the Customer and the Contractor, who are able to determine the guilty party without additional investigation in the shop floor, appointed by orders for the enterprises. If necessary, representatives of the Customer for the well construction are invited to work on the commission. The Commission carries out an investigation and determines (establishes) the cause of equipment failure, with the obligatory execution and signing by both parties of an incident investigation report.
16. The Commission determines the party that caused the incident directly at the wellsite on the day of the investigation, and if there is no evidence of the Customer's guilt, then the Contractor is recognized as the party that caused the incident. Who, in case of disagreement with the decision of the commission, after the removal of the equipment to the base of the Contractor (the transport is provided by the Contractor), conducting an additional investigation at his own expense, has the right to present evidence of his innocence in the incident and refute the decision of the commission. When conducting an additional investigation, the Contractor undertakes to ensure the presence of a representative of the Customer and to call him in advance. Additional investigation is carried out only at the production facilities of the Contractor (it is excluded to conduct an investigation at the production facilities of subcontractors, if they are involved). The equipment delivered to the Contractor's production base under the complaint must be repaired within 10 working days from the moment of delivery of the equipment.
17. Based on the results of the investigation, the commission draws up an investigation report, which must be signed by the parties; refusal to sign the act is not allowed. If the representative of the guilty party established as a result of the investigation refuses to sign the act, the act is considered signed in favor of the other party, about which a corresponding note is made in the act.
This act is the basis for compensation (payment) by the guilty party of losses caused by the incident, downtime or unproductive work at the expense of the guilty party, including penalties imposed on the customer by third parties.
In the event that the Contractor is recognized as the guilty party, the specified act is the basis for a claim by the Customer against the Contractor. Reimbursement (payment) of losses, including penalties, is carried out by means of an adjustment towards a decrease in the volume of work performed by the Contractor by the amount of losses (fine) and payment for the work performed, taking into account the deduction of the cost of downtime (non-productive time) indicated in the claims presented and recognized by the Contractor, either left unanswered within 30 calendar days, or by transferring funds to the Customer's account on the basis of a claim.
