Payment terms:The Client shall pay for the work by transferring money by payment orders to the Contractor's checking account within 120 (one hundred and twenty) calendar days from the date the parties sign the act acceptance of completed works and receiving-transfer of equipment from repair without Customer's comments, with mandatory indication of equipment inventory numbers, appendix of a defective statement, indicating location of defect detection (type, plant number of drilling block, well), return materials (scrap metal) certificate signed by Customer's responsible person, uniform form OS-3 acts, Contractor invoices for the amount of work performed, invoice for invoices.
Delivery terms:The contract expires from 01.01.2020 to 31.12.2020.
- For equipment overhaul, the repair period shall not exceed 30 (thirty) calendar days from the time when the equipment is taken to the Contractor's production facility;
- for overhaul/ongoing repairs of equipment brought in by complaint, the repair period shall be set no more than 10 calendar days from the time the equipment is brought to the Contractor's production facility.

MANDATORY ACCEPTANCE OF THE CONTRACT IN THE CLIENT'S EDITORIAL OFFICE.

1. The Contractor undertakes to complete Appendix No.1 of this specification as a technical and commercial proposal.
2. Third-party subcontracting is permitted only upon written agreement with the Customer to subcontract the equipment.
3. When subcontracting organizations, the cost of delivering the equipment for repairs and repairs is included in the cost of repairing the equipment, and the responsibility for arranging the delivery is the responsibility of the Contractor.
4. The cost of the Contractor's equipment repair services shall be based on transport and travel costs, salaries, insurance, rent, taxes, customs duties, dues and other mandatory payments. Based on the results of ETP, the applicant agrees with the Client the planned cost of work, the cost of the standard hour of services, the parameters of the calculation, and provides the approved standards for fulfillment works.
5. The Contractor has qualified personnel with experience in overhauling the hydromechanical gears, matching gears and wheel chassis cooling system of MZKT 79191. Company Authorized Dealer Certificate authorizing Contractor to perform service, warranty and repair of hydromechanical gears, matching gears and systems cooling wheel chassis MZKT 79191.
5.1. The Contractor undertakes to test all types of Customer's equipment to be repaired on the run-in under load according to the test procedure and according to passport specifications.
6. The Contractor provides the Customer 3 (three) days prior to the Request a Price Quote: the estimated cost of overhauling the equipment being repaired.
6.1. Repair costs for each piece of equipment are determined individually on the basis of mutually agreed defective statements with spare parts, time standards and the cost of the standard hour performing work in accordance with Annex 1 to this specification, calculating the repair of this equipment.
6.2. If it is necessary to use materials and components not specified in Appendix 1 for repair, the Contractor will agree with the Customer for their cost by signing an additional agreement to the contract. The contractor confirms the cost of these materials and components with primary documents (invoices, invoices), and the markup for materials and components not recorded in Annex 1 shall not exceed 2 % of vendor price.
7. Spare parts used to repair equipment are only original.
8. The Contractor's positive experience in cooperation with Tatburneft is welcome.
9. The Customer has the right to adjust the contract price to decrease/increase the amount of work performed.
10. Based on the results of the bidding, the Contractor must agree with the Customer the scheduled calculations, the cost of repair and decryption of the cost items.
11. After the drilling equipment has been overhauled, the Contractor undertakes to manufacture and secure a plate on the equipment casing indicating the inventory and factory numbers in accordance with Act OS-3.
12. In the event of major repairs, the Contractor shall restore the equipment to full or near full service life according to the specifications specified in the passport equipment.
13. In the event of failure of the Customer's equipment (due to Contractor) during the warranty (post-repair) period, as well as the identification of inoperability of the equipment owned by the Contractor The Customer, during the performance of the work (services), shall be entitled to collect a fine from the Contractor in the amount of the cost of the downtime (unproductive work) of the rig (by VU type) based on the cost one hour of downtime (calculating the cost of an hour of rig downtime (by rig type) is an annex to the contract). In case of no downtime (unproductive work) of the rig, the Customer is entitled to collect a fine of 50,000 rubles from the Contractor.
14. In the case of a failure to repair the equipment, pursuant to the terms of this agreement based on the mutually agreed list and monthly repair plan, the Contractor will be subject to penalties in 0.1% of the cost of repairs performed for each day of delay.
15. In the event of failure of the warranty equipment, the Customer may dismantle it without the Contractor's approval. Upon the Contractor's arrival at the site (well), the parties shall establish a commission consisting of competent, authoritative representatives of the Customer and Contractor able to identify the guilty party without additional investigation in shop conditions, ordered by enterprise orders. If necessary, representatives of the Well Construction Customer are invited to serve on the commission. The Commission investigates and determines (determines) the cause of the failure of the equipment, with mandatory registration and signing on both sides of the incident investigation report.
16. The Board shall identify the party who committed the incident directly at the drilling site on the day of the investigation, and if there is no evidence of Customer's fault, admitted Contractor. Who, in the event of disagreement with the Commission's decision, after the equipment has been removed to the Contractor's base (transport provided by the Contractor) and further investigation at its own expense, is entitled to submit to prove his innocence in what happened and to contradict the commission's decision. In case of further investigation, the Contractor undertakes to ensure the presence of the Customer's representative and call him in advance. The additional investigation is carried out only at the Contractor's production facilities (excludes investigation at subcontractors' production sites, if they are involved). The equipment brought to the Claims Contractor's production facility must be repaired within 10 working days of the equipment being imported.
17. As a result of the investigation, the commission drafting a report of inquiry which the parties are obliged to sign, and no refusal to sign the act If the representative of the party identified as a result of the investigation refuses to sign the act, the act is deemed to have been signed for the benefit of the other party, and the act is marked accordingly.
This act is the basis for compensation (payment) by the guilty party for losses caused by an incident, downtime or unproductive work at the expense of the guilty party, including penalties, submitted to the customer by third parties.
If the Contractor is found guilty, the act is the basis for the Customer's claim against the Contractor. Compensation (payment) of damages, including penalties, is made by way of a reduction in the Contractor's work by the amount of losses (fine) and payment of including the deduction of the cost of downtime (unproductive time) indicated in the claims submitted and acknowledged by the Contractor, or left unanswered within 30 calendar days, or by transferring funds to the Customer's current account on the basis of the claim.
Equipment repairs shall be carried out in accordance with the requirements of the equipment operating manual, GOST, TU and applicable standards. The warranty period for completed equipment overhaul works is 12 months and at least 1000 moto-hours from the time the equipment is put into operation.
