Comments: Mandatory terms of the Agreement:
1. Prepayment under the Contract is not provided. Settlements between the Parties to the Agreement are made in Russian Rubles within 30 calendar days from the date of signing by the Customer of the UPD or the Act of Services Rendered/Work Performed, based on the Contractor's invoices, which are transferred to the Customer simultaneously with the UPD or the Act of Services Rendered/Work Performed.
2. The Cost Of Work/The amount of Services specified by the Company in the commercial offer must be fixed in rubles and include all costs and expenses incurred by the Company in connection with the execution of Works/Services, on their own and with their own resources. The involvement of third parties by the Contractor in the execution of the Contract is allowed only with the separate written consent of the Customer. The Contractor is fully responsible for the actions of third parties whom he has involved in the execution of this Agreement, as for his own. The Contractor, in addition, undertakes to include in contracts with third parties involved in the execution of this Contract, conditions similar to those agreed by the Parties in the Contract with the Customer.
3. Guarantee of the result of the Work/The amount of the Contractor's Services is 12 (twelve) months from the date of transfer of the result of the Work/Services to the Customer. If during the above warranty period the Customer finds defects as a result of the Work/Services, and they will be announced in writing to the Contractor within the warranty period, the latter undertakes to make changes and eliminate deficiencies at its own expense.
4. Framework agreement for the performance of Works and Services (Appendix No. 4), including Mandatory Appendices: Agreement on the Regulation of tax risks, Processing of personal data, Assurances about the circumstances. A detailed description of the Works and Services in the form of Annexes to the Framework Agreement will be recorded in accordance with the requirements set out in this document with the Winner.

7. The Contractor does not acquire and does not receive any rights (including exclusive rights, as well as rights to profit from the use of trademarks and other results of intellectual activity and means of individualization) to trademarks and other results of intellectual activity and means of individualization of the company "Tasty – and point".
8. If, during the term of the Contract, the creation of the Result of Intellectual Activity (RID) is implied, or the Contractor acquires exclusive rights or rights of use to the results of intellectual activity that are not directly the result of the work, but are related to the result of the work by a common design, similarity, homogeneity, interchangeability or otherwise, the Contractor undertakes to assign to the Customer the exclusive rights to their use in full, except in cases when such use has already been provided to the Customer or any person necessary for the purposes of the Contract on the basis of an open license (Article 1286.1 of the Civil Code of the Russian Federation) or other expression of the will of the rightholder or a person acting with his consent (including paragraph 5 of Article 1233, paragraph 1 of Article 1229, paragraph 5 of Article 1286 GC). If it is provided for or follows from the substance of the Parties' legal relations, then the rules of the contract on the author's order (Article 1288 of the Civil Code of the Russian Federation) or the rules of the contract for the creation of a computer program, database or other commissioned work (Article 1296 of the Civil Code of the Russian Federation), as provided for by the legislation of the Russian Federation, shall apply to the relations of the Parties. The Customer has the right to use the RID for the purpose of rendering services to the Licensee's affiliate, LLC DVRP, as well as for the purpose of rendering services to legal entities that are franchisees of the Licensee under the relevant Licensee agreements, including commercial concession agreements.
9. Term of the Work Contract/Services - 1 (one) year with the possibility of auto-prolongation at the discretion of the Customer.

6. Коммерческие предложения.:
Коммерческое предложение Компании в заявке на ЭТП B2B должно содержать:
1. Анкету участника (Приложение №2 и Перечень документов по Анкете)
2. Соглашение о неразглашении (Приложение №3), заверенные подписью и печатью.
3. Указание стоимости в форме ЭТП B2B-Center.
4. Презентацию о Компании.
5. Технико-коммерческое предложение (ТКП – см.Часть 2 Раздела 5 Задания).
6. Официальное письмо на бланке Компании о соответствии Общим требованиям к Компаниям-участникам (Раздел 1 данного Задания).
7. Официальное письмо на бланке Компании с подтверждением Компании принятия Обязательных условий Договора по форме ООО «Система ПБО».
7. Заключительные положения.:
Коммерческое предложение должно быть действительно не менее двух месяцев с момента его подписания. Некорректно заполненные Коммерческие предложения не принимаются к рассмотрению. На свое исключительное усмотрение Заказчик может назначить несколько раундов сбора Коммерческих предложений.
