Dear Gentlemen
LLC "Rusagro-Center" (Organizer of the tender) invites you to take part in the tender for the supply of the needs of the plant of RUSAGRO SBN. (factory addresses Annex 2) $

trading ETP from 08.07.2019 to 12.07.2019 14:00

1. This competitive procedure, upon prior selection of the Supplier, is sent in accordance with the Tender Organizer's Tender Rules as part of the procedure for requesting commercial offers, which (as well as the actual pre-selection procedure of the Supplier) is not an offer, auction or competition and its conduct is not regulated by Art. 447-449 Part 1 and 1057-1061 Part 2 of the Civil Code RF. Thus, this procedure does not impose a corresponding amount of civil liability on the Organizer and reserves the right to refuse all received Offers under any cause or discontinue the selection process at any time without giving reasons, without any liability to the Members. $

2. The tender organizer reserves the right to choose several winners, dividing the delivery of the specified quantity of goods at its discretion and without explaining the reasons among several potential suppliers participating in the competitive procedure. $

3. Organization/documentation that does not comply with the requirements and forms specified in the notice, the Organizer has the right to reject without giving reasons and accept this documentation and, accordingly, the Applicant does not to meet the requirements of this competitive procedure. $

4. In the tender I ask to put the final prices, and also to attach all constituent documents according to the list in the attachment (Appendix 1). Also indicate whether you are ready to accept our standard form of contract without change.

5. Prices should be specified without VAT and include the cost of goods, packaging, documentation provided by the legislation, delivery to the Factors.

6. Payment will be made in rubles upon expiration of 35 (thirty-five) banking days on the first payment day of the Customer (working Monday and Wednesday) after receipt of the goods in the Buyer's warehouse. If it is not possible to confirm the requested payment terms, please offer your own. Please note that any advance payment must be provided by Bank Guarantee (not welcome). Standard penalties of 2.5% per week. (see contract template Annex 4). $

7. Proposals during the procedure will be accepted for consideration on condition of fixing the price for at least 4 months with possible prolongation (preference is given to the supplier with the longest period of fixing the price). The organizer reserves the right not to consider offers that do not meet the standard requirements of Rusagro. Suppliers who confirmed in the course of the tender Rusagro conditions, and subsequently do not hold the agreed terms of fixing - can be added to the list of unreliable suppliers (in subsequent tenders will not be invited).

8. The winner (s) of the auction is approved by the Chairman of the tender committee, based on the results of all cumulative factors (price, deferred payment, availability /absence of advance payment, guarantee, standard Rusagro, timing of fixing the price).
9. Supply of non-reusable The quantity can be adjusted at the request of the plant both in the greater and in the lower direction.
10. In case of receiving prices by results of the tender higher than the budget planned by the plants, it is possible to carry out a reschedule between participants of the main stage.

11. Proposals of applicants whose companies have a registration period of less than one year and have not provided statutory and accounting documents for ETP are not accepted for consideration (Appendix 1)

12. When signing contracts with the winning suppliers, it is mandatory to sign Annex 5 "Anti-Corruption Clause" and Annex 6 "Special Conditions_Due Diligence" on both sides (Supplier and Factory)
