Dear gentlemen,
LLC "Rusagro-Center" (Organizer of the Tender) invites you to take part in the tender for the supply of the needs of etm to the plants of RUSAGRO SBN. (addresses of factories Annex 2)

trading ETP from 11.05.2021 to 17.05.2021 14:00

1. This competitive procedure on the prior selection of the Supplier shall be sent in accordance with the Tender Rules of the Tender Organizer within the framework of the commercial request procedure offers, which (as well as the procedure of pre-selection of the Supplier itself) is not an offer, auction or competition and its conduct is not regulated by Art. 447-449 Part 1 and 1057-1061 Part 2 of the Civil Code RF. Thus, this procedure does not impose on the Organizer an appropriate amount of civil obligations and reserves the right to refuse all received Proposals for any cause or terminate the selection procedure at any time without explanation, without any liability to the Participants.

2. The tender organizer reserves the right to select several winners by dividing the delivery of the specified quantity of goods at its own discretion and without explanation between several potential suppliers participating in the competitive procedure.

3. Organization/documentation that does not comply with the requirements and forms specified in the notification, the Organizer has the right to reject without explanation and recognize this documentation, and, accordingly, the Applicant does not relevant to the requirements of this competitive procedure.

4. In the tender please set the final prices (units of measurement according to the request!) , as well as to attach all constituent documents according to the list in the attachment (Appendix 1). Also indicate the readiness to adopt the standard form of the Rusagro contract without changes or attach the Protocol of Disagreement on the ETP

5. Prices must be specified without VAT and include the cost of goods, packaging, registration of documentation provided by legislation, delivery to the Plants (Appendix 2)

6. Payment will be made in rubles after 60 (sixty) calendar days after the receipt of the goods at the Buyer/Consignee's warehouse. If you cannot confirm the requested payment terms, please offer your own. Please note that any advance must be provided by the Bank Guarantee (not welcome). Standard penalties are 2.5% per week. (see the template of the contract with additional annexes: Specification, Anti-Corruption Clause, Sanctions Clause (Annex 4) — Signing of these annexes is mandatory for further work with Rusagro units).
Payment is made only in the presence of original documents (contract with kit, shipping documents, invoice, invoice, UPD)

7. Proposals during the procedure will be accepted subject to fixing the price for at least 3 months with possible prolongation (preference is given to the supplier with the highest price fixing period). The Organizer reserves the right not to consider offers that do not meet the standard requirements of Rusagro. Suppliers who confirmed Rusagro conditions during the tender, and subsequently do not hold the stipulated fixation deadlines — can be added to the list of unreliable suppliers (in subsequent tenders will not be invited).
8. At the end of the tender, additional requests from the Organizer are possible to clarify the terms of the offers (brands, manufacturers, labels, payment terms, etc.). In case of failure to provide feedback within 3 working days, the Organizer has the right to cancel the offer of the supplier.

9. The winner (s) of the bidding shall be approved by the Chairman of the Tender Committee, based on the results of all aggregate factors (price, deferral of payment, availability/absence of advance, guarantee, standard terms of Rusagro, timing of price fixing).
10. Supply on applications of plants
11. In case of receipt of prices based on the results of the tender above the budget planned by the plants, it is possible to conduct a recorder between the participants of the main stage.

12. The proposals of applicants whose companies have a registration period of less than one year and have not provided statutory and accounting documents for ETP are not accepted for consideration (Appendix 1)

13. When signing contracts with the winners suppliers, it is mandatory to sign the Annexes to the contract: "Anti-Corruption Clause", "Sanctions Clause" on two sides (Supplier and Plant) - see Annex 4
