Rusagro-Center LLC (the Organizer of the Tender) invites you to participate in the tender for the supply of cable products to the RUSAGRO SBN plants. (factory addresses Appendix 2)

1. This competitive procedure for the preliminary selection of a Supplier is directed in accordance with the Tender Rules of the Tender Organizer within the framework of the procedure for requesting commercial proposals, which (like the procedure for the preliminary selection of a Supplier itself) is not an offer, auction or tender and its conduct is not regulated by Articles 447-449 Part 1 and 1057-1061 Part 2 of the Civil Code of the Russian Federation. Thus, this procedure does not impose an appropriate amount of civil obligations on the Organizer and reserves the right to refuse all received Offers for any reason or to terminate the selection procedure at any time without explaining the reasons, without incurring any responsibility to the Participants.
2. The tender organizer reserves the right to select several winners, dividing the delivery of the specified quantity of goods at its discretion and without explaining the reasons between several potential suppliers participating in the competitive procedure.
3. The organization/documentation that does not meet the requirements and forms specified in the notice, the Organizer has the right to reject without explanation and recognize this documentation, and, accordingly, the Applicant, does not meet the requirements of this competitive procedure.
4. In the tender, please submit the final prices (units of measurement according to the request!), as well as attach all the constituent documents according to the list in the attachment (Appendix 1). Also indicate your readiness to accept the standard form of the Rusagro agreement without changes or attach a Protocol of Disagreements to the ETP
5. Prices should be indicated without VAT and include the cost of the goods, packaging, registration of documentation provided for by law, delivery to Factories (Appendix 2)
6. Payment will be made in rubles after 60 (sixty) calendar days after receiving the goods at the Buyer's warehouse/The consignee. If it is not possible to confirm the requested payment terms, we ask you to offer your own. Please note that any advance must be secured by a Bank Guarantee (not welcome). Standard penalties of 2.5% per week. (see the contract template with additional appendices: Specification, Anti-Corruption Clause, Sanctions Clause (Appendix 4 – - signing of these appendices is mandatory for the possibility of further work with Rusagro divisions).
Payment is made only if the original documents are available (contract with the kit, shipping documents, invoice, invoice, UPD)
7. Proposals during the procedure will be accepted for consideration, provided that the price is fixed for at least 3 months with a possible extension (preference is given to the supplier with the longest period of price fixing). The Organizer reserves the right not to consider offers that do not meet the standard requirements of Rusagro. Suppliers who have confirmed the terms of Rusagro during the tender, and subsequently do not keep the agreed terms of fixing – can be added to the list of unreliable suppliers (they will not be invited to subsequent tenders).
8. At the end of the tender, additional requests from the Organizer are possible to clarify the terms of the offers (brands, manufacturers, labels, payment terms, etc.). In case of failure to provide feedback within 3 working days, the Organizer has the right to cancel the supplier's offer.
9. The winner (s) of the auction is approved by the chairman of the tender committee, based on the results of all aggregate factors (price, deferred payment, availability /absence of an advance, guarantee, standard terms of Rusagro, terms of price fixing).
10. Delivery at the request of the plants – the timing is a priority
11. In the case of obtaining prices based on the results of the tender above the budget planned by the plants, it is possible to conduct a rebidding between the participants of the main stage.
12. Proposals of applicants whose companies have a registration period of less than one year and have not submitted their statutory and accounting documents for the ETP are not accepted for consideration (Appendix 1)
13. When signing contracts with winning suppliers, it is mandatory to sign the Annexes to the contract: "Anti-corruption clause", "Sanctions clause" on both sides (Supplier and Factory) - see Appendix 4
