Rusagro-Center LLC (Tender Organizer) invites you to participate in the tender for the supply of bearing needs to RUSAGRO SBN plants. (plant addresses Appendix 2)

1. This Vendor Pre-Selection Competition Procedure shall be submitted pursuant to the Tender Regulations of the Tender Organizer as part of the Commercial Request Procedure offers which (like the Supplier's pre-selection procedure itself) is not an offer, auction or contest and is not subject to Art. 447-449 of 1 and 1057-1061 h. 2 of the GC RF. Thus, the procedure does not impose an appropriate amount of civil obligations on the Organizer and reserves the right to waive all Proposals received for any cause or terminate the selection process at any time without explanation, without giving any responsibility to the Participants.
2. The tender organizer reserves the right to select multiple winners by dividing the supply of the specified quantity of goods at its discretion and without explanation among several potential by participating suppliers of the competition procedure.
3. Organization/documentation that does not comply with the requirements and forms specified in the notification, the Organizer has the right to reject without explanation and recognize the documentation, and therefore the Applicant not to meet the requirements of this competitive procedure.
4. In the tender, please bid the final prices and attach all the incorporation documents according to the list in the attachment (Appendix 1). Also indicate readiness to adopt the standard Rusagro treaty form without modification or to attach the Protocol of Disagreement on the ETP
5. Prices must be reported excluding VAT and include the cost of goods, packaging, documentation, delivery to the Factories (Annex 2)
6. Payment will be made in rubles after 60 (sixty) calendar days after receipt of the item at the Buyer/Consignee's warehouse. If you are unable to confirm the payment terms requested, please offer your own. Please note that any advance must be provided by the Bank Guarantee (not welcome). Standard penalties are 2.5% a week. (see treaty template with additional annexes: Specification, Anti-Corruption Clause, Sanctions Clause (Annex 4) — Signing of these annexes is mandatory for the possibility of further work with Rusagro units).
Payment is only subject to original documents (package contract, shipping documents, invoice, invoice, UPD)
7. Bearings should be offered positionally based on the categorization of equipment (see para. Standard) — Provider selection recommendations will take into account this Standard. Vendor selection will be subject to category A (SKF, FAG, TIMKEN) ONLY at the manufacturers' data dealers' offices.
8. Proposals during the procedure will be accepted subject to a fixed price for a minimum of 6 months with possible prolongation (preference is given to the supplier with the highest price fixing period). The Promoter reserves the right not to consider offers that do not meet Rusagro's standard requirements. Vendors that validate Rusagro's terms during the tender, and subsequently not holding the specified fixation deadlines, may be added to the list of unreliable suppliers (in subsequent tenders will not be invited).
9. At the end of the tender, additional requests are possible from the Organizer to clarify the terms of the offers (brands, manufacturers, labels, payment terms, etc.). If no feedback is provided within 3 business days, the Organizer has the right to cancel the vendor's offer.
10. The winner (s) of the bid are approved by the chairman of the tender committee, based on the results of all cumulative factors (price, deferred payment, availability of /no advance, warranty, Rusagro standard terms, timing of price fixing).

12. If prices are obtained from the tender results above the budget planned by the plants, it is possible to retrade between the participants in the main stage.
13. Proposals of applicants whose companies have a registration period of less than one year and have not submitted statutory and accounting documents to the ETP (Annex 1)
14. When signing contracts with winning suppliers, it is mandatory to sign the Annexes to the contract: "Anti-Corruption Clause", "Sanctions Clause" on two sides (Supplier and Plant) - see Annex 4
