Payment terms:
Payment of the Contractor's rendered and accepted Services is made by the Customer by bank transfer of money to the Contractor's checking account within 120 (hundred and twenty) calendar days after the Customer signed the original service act on the basis of payment invoiced by the Contractor and the original invoice made in accordance with the requirements of the Russian law.

1. MANDATORY ACCEPTANCE OF THE CONTRACT IN THE CUSTOMER'S EDITORIAL.
2. Service maintenance must be provided by one service engineer when operating Canrig 6027 AC, SLC DQ-40BQ overhead drive systems at Orenburg-Neft LLC facilities ;.
Spare parts, consumables to SLC DQ-40BQ top-wheel drive systems are provided by the Contractor, and spare parts for the Canrig 6027AU top-drive systems are provided by the Customer.
Prior to concluding the contract, the applicant undertakes to issue permits for service engineers to Orenburg-Neft LLC facilities.
The challenger is obliged:
- Comply with the requirements of sanitary and epidemiological regulations JV 3.1.3597-20 "Prevention of new coronavirus infection (COVID-19)", approved by the General State Sanitary Doctor of the Russian Federation dated May 22, 2020 №15.";
- to test workers for IgG antibodies at their own expense, with further free vaccination of their workers against new coronavirus infection (COVID-19), for those who have no antibodies were detected and only to be carried out under the Treaty by their employees who have been fully vaccinated or have other evidence of the absence of a new coronavirus infections (COVID-19) and which have no evidence of ARVI;
- ensure that each Contractor worker has a COVID-19 vaccination certificate for the duration of their work/service, or have a certificate on the results of testing PCR method obtained no earlier than 72 hours prior to the commencement or "Laboratory Results Reference" on the presence of antibodies to the RBD domain of the SARS- COV-2, IgG obtained during natural post-infection immunization issued no earlier than 2 months prior to the commencement of work at the Customer's facilities or other locations Contract.
The requirements referred to in this paragraph shall apply when the Contractor's persons are involved in the Customer's facilities of the well construction and in direct contact of the Customer's employees and Performer within social distance in the work/service delivery process.
To ensure movement between well construction facilities, the Performer undertakes to provide the service engineer with road transport.
3. In the event that the Contractor, for reasons beyond the Customer's control, does not commence the Services under this Agreement at the date of commencement of the Services at the Site specified in the Application, the Customer shall have the right fine the Contractor with a fine of 50,000 (fifty thousand) rubles for each day of such violation.
The Contractor is responsible for the failure of the SVP equipment caused by improper performance of the Contractor's services under the Agreement. In this case, the Contractor undertakes to pay the Customer the market value of the equipment, materials, units and units owned by the Customer, property appraisal costs and reimburse the cost of repairing them. In case of a simple rig due to failure of equipment (Canrig 6027 AC, SLC DQ-40 BQ) over 6 hours a day due to the fault of the Contractor, the Contractor pays a fine in 100,000 (one hundred thousand) roubles, 00 kopecks for every day in which a simple one was allowed, and in this case, the Contractor's services for SVP equipment are not payable for whole days in which there was such downtime, at the cost of service service. The Customer may not apply penalties under this item to the Contractor if the downtime due to the Contractor was not more than 5% of the calendar time for each rig.
Payment of non-claims or damages caused does not relieve the guilty Party from fulfilling its obligations.
In the event of an idle of the Client's drill crew at the site of the Services as a result of the Contractor's actions (omission), the act shall be prepared by the authorized representatives of the Parties Annexes No. 6 (on the part of the Customer — Drillmaster's Assistant/Engineer of the CSEO Site; the Contractor is a representative located on the Site). If a Party refuses the signing of the deed, a recording is made. This act is taken into account in the Client's drafting of and is an annex to the Service Field Act.
The Customer does not compensate the Contractor for payment of penalties for violations of environmental claims, damages and damages caused to the environment due to the Contractor's fault, according to the fact submitted violations of the calculations of the relevant environmental authorities, regardless of the time the breach was detected.
The Contractor, at his own expense, performs work to restore the natural environment if environmental damage is caused by the Contractor in the breach of the Services, the requirements of the Regulations and Instructions in place of the Customer's production activities.
When the regulatory authorities impose penalties on the Customer, claims for damages, and increased payments for violations of environmental law committed by the Contractor, The Contractor will reimburse the Customer for additional costs regardless of the time the breach was detected and the surrender of the Services at the site where violations occurred.
If invoices are improperly issued and failed to provide them on time, resulting in the value added tax not being deducted (reimbursed) by the tax authorities from the budget, the Contractor will reimburse the Customer for losses caused by such non-reimbursement (non-receivable) tax from the budget.
If the Customer is held liable as a result of the Contractor's actions (omissions) in performing work on third-party licensing areas, the Contractor is obliged within 30 days from receipt of notification with supporting documents, to reimburse the Customer for damages in the amount of fines paid to them.
