Payment terms:The Customer pays for the work by transferring funds by payment orders to the Contractor's settlement account within 120 (one hundred and twenty) calendar days from the date of signing by the parties of the act of acceptance of completed works and the act of acceptance and transfer of equipment from repair without the Customer's comments, with mandatory indication of equipment inventory numbers, attachment of the defective statement, indicating the location of defects (type, factory number of the drilling block, well), certificate for returnable materials (scrap metal) from repair with the signature of the financially responsible person of the Customer, unified form of acts OS-3, invoices of the Contractor for the amount of work performed, invoices.
Delivery terms:The term of the contract is from 01.05.2022
to 31.12.2022 - for major repairs of equipment, the repair period is no more than 30 (thirty) calendar days from the date of delivery of equipment to the Contractor's production base;
- for the current (application) repair of equipment at the Customer's facilities, the repair period is not more than 2 (two) calendar days from the date of filing the application. In case of technical necessity of carrying out the current (application) repair of equipment at the Contractor's production base, the repair period is not more than 5 (five) calendar days from the date of delivery of equipment to the Contractor's production base.

Major repairs are carried out at the Contractor's production facilities;
The work on the current (application) repair is carried out at the well construction facilities of Tatburneft Management Company LLC, and in case of technical necessity at the Contractor's production facilities.

"MANDATORY ACCEPTANCE OF THE CONTRACT AS AMENDED BY THE CUSTOMER.
1. The cost of the equipment repair services offered by the Contractor must be made up of the cost of materials and services, according to Appendix No. 1 to the specification, on the basis of the defective statement (Appendix 2b of the Contract). The equipment delivered to the Contractor's production base under the complaint must be repaired within 15 working days from the moment of delivery of the equipment.
2. Requirements for the Contractor:
1) The presence of a production base no more than 200 km from the city of Almetyevsk RT - property or lease.
2) At least 3 years of experience in repairing DAN-45SHM compressors (confirmed by contracts).
3) Availability of material and technical resources to perform the work:
- Test bench for compressor DEN-45 (Testing of pneumatic components of equipment for tightness of at least 0.8MPa) - 1 pc. (ownership or lease with supporting documents)
- Turning machine - at least 1 pc. (property or lease with supporting documents).
- Semi-automatic welding machine - at least 1 pc. (property or lease with supporting documents).
- Surfacing apparatus - at least 1 pc. (property or lease with supporting documents).
- Milling machine - at least 1 pc. (property or lease with supporting documents).
4) ISO 9001 certificate for maintenance and repair of drilling oil and gas equipment.
5) Availability of service - supporting documents
6) Availability of a laboratory for conducting flaw detection (ultrasonic, capillary, magnet-powder) - subcontracting agreement, certificate.
7) Availability of a laboratory for the Examination of industrial safety of oilfield equipment - subcontracting agreement, certificate.
3. In case of failure of the equipment belonging to the Customer (due to the Contractor), during the warranty (post-repair) period, as well as identification of the fact of inoperable equipment belonging to the Customer during the performance of works (services), the Customer has the right to recover from the Contractor a fine in the amount of the cost of downtime (unproductive work) of the drilling rig (based on the cost of one hour of downtime (Appendix No. 5 to the contract, the cost of an hour of downtime is adjusted unilaterally once a quarter), but not more than the cost of the repair performed. In the absence of downtime (unproductive work) of the drilling rig, the Customer has the right to collect a fine of 50,000 rubles from the Contractor and the actual costs incurred for dismantling the equipment that has failed and installing the circulating equipment.
4. In case of violation of the terms of repair of equipment, according to the terms of this agreement on the basis of a mutually agreed list and a monthly repair plan, the Contractor will be penalized in the amount of 3% of the cost of the work performed on this repair for each week of delay.
5. In case of failure of the warranty equipment, the Customer has the right to dismantle it without the consent of the Contractor. Upon arrival of the Contractor at the facility (well), the parties create a commission, which includes competent, authorized representatives of the Customer and the Contractor, who are able to determine the guilty party without additional investigation in shop conditions, appointed by orders for enterprises. The Commission investigates and determines (establishes) the cause of the equipment failure, with mandatory registration and signing on both sides of the incident investigation act.
6. The Commission determines the party that committed the incident directly on the drilling site on the day of the investigation, while if there is no evidence of the Customer's guilt, the Contractor is recognized as the party that committed the incident. Who, in case of disagreement with the commission's decision, after taking the equipment to the Contractor's base (transport is provided by the Contractor), conducting an additional investigation at his own expense, has the right to provide evidence of his innocence in what happened and refute the commission's decision. When conducting an additional investigation, the Contractor undertakes to ensure the presence of the Customer's representative and to carry out his call in advance. An additional investigation is carried out only at the Contractor's production facilities (it is excluded that an investigation is carried out at the production facilities of sub-executors, if they are involved). The equipment delivered to the Contractor's production base under the complaint must be repaired within 10 working days from the moment of delivery of the equipment.
7. Following the results of the investigation, the commission draws up an act of investigation, which the parties are obliged to sign, refusal to sign the act is not allowed. In case of refusal of the representative of the guilty party established as a result of the investigation to sign the act, the act is considered signed in favor of the other party, about which a corresponding note is made in the act.
This act is the basis for compensation (payment) by the guilty party for losses caused by an incident, downtime or unproductive work at the expense of the guilty party, including penalties imposed on the customer by third parties.
If the Contractor is recognized as the guilty party, the specified act is the basis for filing a claim by the Customer to the Contractor. Compensation (payment) for losses, including penalties, is carried out by adjusting, in the direction of reducing the amount of work performed by the Contractor by the amount of losses (fine) and payment for the work performed, taking into account the deduction of the cost of downtime (unproductive time) specified in the claims submitted and recognized by the Contractor, or left unanswered within 30 calendar days, or by transferring funds to the Customer's settlement account on the basis of a claim.

Equipment repair work must be carried out in accordance with the requirements of the equipment operation manual, current technical specifications and GOST standards. The warranty period for the completed equipment repair works is:
- for the overhaul of equipment for 12 months;
- for the current (application) repair of equipment for 9 months;
- warranty conditions for RTI used during repair – 500 hours.
